EXTRA SERVICES
SISTUHS, Incorporated, is not obligated to provide payment for services such as a set-up fee, to the vendor.
QUALITY PRODUCTS
The vendor shall ensure proper quality of the products sold. The vendor shall comply with all applicable rules of the Paraphernalia Guidelines.
INDEMNIFICATION
The Vendor agrees to indemnify and hold SISTUHS, Incorporated harmless from all claims, losses, expenses, fees, including attorney fees, costs, and judgements that may be asserted against SISTUHS, Incorporated that results from the acts or emissions of the Vendor. SISTUHS, Incorporated, shall be solely responsible for ensuring all applicable laws are followed and complied with in selling and presenting SISTUHS, Incorporated’s products.
DEFAULT
The occurrences of any of the following shall constitute a material default under this Agreement:
The failure to make a required payment when due.
The insolvency or bankruptcy of either party.
The subjection of any of either party’s property to any levy, seizure, general assignment for the benefits or creditors, application or sale for or by any creditor or government agency.
The failure to abide by the Paraphernalia guidelines as listed in this agreement.
REMEDIES
In addition to any and all other rights a party may have available according to the law, if a party defaults by failing to substantially perform any provision, term or condition of this Agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate the Agreement by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 5 days from the effective date of such notice to cure the defect(s). The failure to cure the default(s) within such time period shall result in the automatic termination of this Agreement.
ENTIRE AGREEMENT
This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Agreement. This Agreement supersedes any prior written or oral agreements between the parties.
AMENDMENT
This Agreement may be modified or amended in writing, if the writing is signed by the party obligated under the amendment.
WAIVER OF CONTRACTUAL RIGHT
The failure of either party to enforce any provision of this agreement shall not be considered as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
PARAPHERNALIA GUIDELINES
SECTION I. OFFICIAL NAME
A. The official name of this organization is SISTUHS, Incorporated. SISTUHS, Inc. is the only authorized shortened version of SISTUHS, Incorporated.
B. When referring to this organization, the name should be written in all capital letters, with the exception of the word “Incorporated” or “Inc.” Periods are not used to separate the individual acronym letters when referring to SISTUHS, Incorporated.
c. When referring to a member of this organization, the name should be written in all capital letters. i.e. “SISTUH”. Periods are not used to separate each acronym letter.
SECTION II. EMBLEM USAGE
A. The official SISTUHS, Incorporated emblem is called Nubia. The SISTUHS, Incorporated emblem is protected under United States copyright laws:
1. Any unauthorized reproduction of the SISTUHS, Incorporated emblem is a violation of the United States copyright laws.
B. Modifications to the emblem
1. The acronym SISTUHS, Incorporated should not be removed from the emblem.
2. The founding date of 1992 should not be removed from the emblem.
3. The emblem must not be twisted, stretched, or rotated. Any scaling to the emblem must be done in a 1:1 ratio, that is the width and height must be scaled so that there is not distortion of the emblem’s design.
4. The emblem is not to be tattooed due to the inability to guarantee trademark requirements.
5. The National Board of SISTUHS, Incorporated must authorize any modifications to the official SISTUHS, Incorporated emblem.
6. Emblem must be printed or embroidered on the left side of any formal wear such as polo or oxford.
SECTION III. PARAPHERNALIA
A. For the purposes of SISTUHS, Incorporated, National Paraphernalia is defined as any garment or object bearing the National emblem of SISTUHS, Incorporated or the name SISTUHS, Incorporated.
B. All paraphernalia bearing the name SISTUHS, Incorporated must uphold and not violate the SISTUHS acronyms of Strength, Initiative, Spirituality, Tenacity, Unity, Health and Substance.
1. Garments, objects, or printed material with violent, sexually suggestive, or obscene statements will not be permitted.
2. Garments, accessories or printed material with slogans or pictures depicting or promoting drug, alcohol, tobacco, or controlled substances are not appropriate.
3. Garments that are too short, tight fitting, or of such a nature as to be sexually suggestive or revealing are not appropriate.
C. Paraphernalia classification
1. National Paraphernalia Guidelines
a. Any paraphernalia created, designed, and sold by a Vendor, must be approved by the National Board of Directors.
b. National paraphernalia is to be made available to all members that have been given the right to wear SISTUHS, Incorporated paraphernalia as defined in the National Constitution.
c. The founding date (December 3, 1992), chapter charter dates, year of officer tenure the only dates permissible on national paraphernalia. No other dates such as induction dates (Fall 2008 or December 3, 2008) are permitted.
d. Members’ birth names, Executive Board positions, and National Board of Director positions are permissible on paraphernalia items.
e. Nicknames are not permissible on SISTUHS, Incorporated national paraphernalia.
SECTION IV. DISPLAY OF COLORS
A. All SISTUHS, Incorporated paraphernalia items and functions should proudly display the official colors.
B. The following color combinations are recommended for the production of official paraphernalia:
1. Black on Gold
2. Gold on Black
3. Black and Gold on white
4. Black and White on Gold
5. White and Gold on Black
6. Black on a natural or khaki-colored surface
7. The colors should follow these guidelines:
Hex Codes Black: #0A0909 Gold: #FBC162 White: #FEFDFD Gray: #7D7A77
C. The following prints are also acceptable for the production of official paraphernalia:
1. African prints
2. Kente Cloth
SECTION V. SISTUHS, INCORPORATED ANKH
- The ankh is the primary symbol of this organization.
- The ankh is to be only displayed upright.
- The ankh can be used as a replacement for the letter “T” for special design purposes.
SECTION VI. NATIONAL PARAPHERNALIA APPROVAL PROCESS
A. All proposed items for national paraphernalia must be submitted to the Director of Correspondence at least 2 weeks prior to production date.
B. Once the National Director of Correspondence has vetted the proposed paraphernalia she will reply with an approval or denial to the request. A proposal must be submitted with the following:
1. Detailed descriptions of the proposed item include dimensions, color, and weight.
2. Layout for front, back, and sides
3. Lettering
4. Numbering layout
C. All proposed items for national paraphernalia must receive the approval from the National Director of Correspondence.
D. The National Director of Correspondence will keep a record of all approved national paraphernalia created, designed, or sold by vendors.
E. If the vendor does not adhere or comply to the aforementioned guidelines, further action may be taken by the National Board of Directors.
