Licensee acknowledges and agrees the St. Albert Raiders Logo is the exclusive intellectual property of St. Albert Minor Hockey Association (SAMHA).
SAMHA agrees to grant Licensee a limited use license (the “License”) whereby Licensee can reproduce the St Albert Raiders Logo solely for the Purpose and the Period provided the Licensee:
Does not, without the prior written permission of SAMHA, alter the St Albert Raiders Logo in any way and clearly states “Used with permission of St Albert Minor Hockey Association” wherever and whenever it reproduces the St Albert Raiders Logo.
Licensee acknowledges and agrees that this Limited Use License Agreement does not convey any ownership or other rights to the St Albert Raiders Logo, nor does it restrict or impair in any manner the exclusive ownership rights of the St Albert Raiders Logo.
The Parties agree that at the sole discretion of Licensor, SAMHA can immediately, and without any compensation or penalty, terminate the License granted by SAMHA to Licensor herein by providing Licensee with written notice of termination.
Upon the end of the Period or upon termination under Section 4, Licensee agrees to cease reproducing or otherwise using the St Albert Raiders Logo and agrees to return all copies of the St Albert Raiders Logo to SAMHA or to destroy all copies of the St Albert Raiders Logo.
This Limited Use License Agreement shall be governed by the Laws of the Province of Alberta.
The Parties agree that time is of the essence.
The Parties agree that should any section of this Limited Use License Agreement be held to be unenforceable or invalid, that section shall be deleted and the remainder of this Limited Use Licensee Agreement shall remain in full force and effect.
The Licensee cannot assign any of its rights under this Limited Use License Agreement to any other party.
