Rep Dat Television (Licencee) and enter Licensor name (Licensor)

Purpose of Agreement
This Short-Term License Agreement is entered into as of   Date by and between    enter licensor name, ("Licensor"), and     enter licensee's name, a ("Licensee").


Terms for the Licence Agreement

Licensor hereby grants Licensee a  non-exclusive , non-transferable license to stream and display the content described in Exhibit A   contenton Licensee's streaming platform, Rep Dat Television , for the duration of   enter terms of license.

This license shall commence on the Effective Date and continue for the duration specified in the Term of License unless earlier terminated in accordance with the terms herein.

OWNERSHIP
Licensor retains all rights, title, and interest in and to the Content, and nothing in this Agreement shall be construed as transferring any ownership rights to Licensee including all associated credits.

Warranties and Indemnities

Licensor confirms that:
a) They have all the necessary rights and licences to grant licence the rights set out in this Term Sheet;

b) Content provided is not defamatory nor infringes the rights of any third party (including intellectual property rights, publicity, or privacy rights);

c) Licensee will not be liable for any additional rights or clearances including in respect of any performances and music and that such content will comply with all applicable UK laws, regulations and codes of practice, and will indemnify the licensee against any claims losses and damage caused by any breach of this section.

d) they grants licensee editing rights to the content so that the licensee can edit the Program to fit scheduling slots and that licensee shall be permitted to include a bug/logo on the transmission of the Program generally on the top right hand side.

e) they grant the licensee the rights to run marketing/online/social media campaigns during the content and the licensee may use reasonable stills or short extracts from the content for these purposes.

f) they will actively market and promote the content streaming on Rep Dat Television in accordance with the Licensee’s reasonable instructions from time to time.

Licensee confirms that:

a) it is entitled to enter into and perform this Agreement

b) it shall not use the Content other than strictly in accordance with the terms of this Agreement;


Compliance

Programming and advertising content to comply with UK OFCOM/BCAP Content and Advertising rules. licensee will preview the copy and reserves the right to refuse transmission.

TERMINATION:
Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement, and such breach is not cured within 14 days of receiving notice of the breach.

CONFIDENTIALITY
Both parties agree to keep confidential all non-public information disclosed during the term of this Agreement, including but not limited to pricing, business strategies, and proprietary content details.

GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom without regard to its conflicts of law principles.

Rep Dat Television agrees to compensate Content Creators with a fair and equitable share of advertising revenue generated by the content created by the Content Creators. This compensation shall be based on the number of views and ad engagement. The advertising revenue share shall be calculated on a periodic basis, such as monthly or quarterly, and shall be determined by the agreed-upon percentage of blanks in favour to the content creator.

Rep Dat Television shall provide transparent and detailed reports to Content Creators, once the Creator reaches the payment threshold outlining the total advertising revenue generated, any deductions or expenses incurred, and the calculation of the revenue share owed to each Content Creator.

Payment threshold

The payment threshold for content creators is set at a minimum of 3,000 viewers, assuming maximum ad insertion, equivalent to approximately 18 ads per hour. This threshold ensures that content creators receive compensation commensurate with their contributions while maintaining a standard of viewership that warrants revenue generation through advertising. Content creators will become eligible for payment once their content surpasses this threshold, reflecting a significant level of engagement and viewership. This minimum threshold is designed to ensure that payments are made in a manner that aligns with the value generated for both the content creators and Rep Dat Television.

Payment Terms

The revenue share owed to Content Creators shall be paid out within a reasonable period following the end of each monthly reporting period. Payment shall be made in the currency and method agreed upon by both parties.

Adjustments and Disputes

In the event of any discrepancies or disputes regarding the calculation of the advertising revenue share, both parties agree to work together in good faith to resolve such issues promptly. Any adjustments to the revenue share shall be reflected in subsequent payments to the Content Creators.
