In exchange good and valuable consideration, including the recognition and other benefits to be derived from publication of the photograph(s), video recording(s) and/or other image(s) attached hereto (collectively, “Image”), the undersigned (“Licensor”) agrees as follows:
The American Society of Landscape Architects, Inc., its representatives, designees, successors and assigns (“ASLA”) is hereby granted an unlimited, irrevocable, permanent, nonexclusive, worldwide and royalty-free license and right to use, display and/or publish the Image in any format on any ASLA website, on any social media platform, in Landscape Architecture Magazine and/or in other products and services relating to the promotion of landscape architecture or ASLA’s mission. Licensor waives the right to inspect or approve the manner of usage or publication.
ASLA shall give attribution to the photographer(s), videographer(s) and/or graphic artist(s) in any usage and/or publication of the Image.
Licensor represents and warrants that:
- Licensor has the right and authority to grant this license.
- Licensor is either the original artist and creator of the Image, or has obtained written permission from the photographer(s), videographer(s), graphic artist(s) or other creator(s) of the Image sufficient to grant this license.
- All permissions of individuals appearing in the Image sufficient to grant the license herein have been obtained.
- The Image does not infringe the copyright, intellectual property rights, privacy rights or other rights of any third party.
- Licensor will indemnify and hold harmless ASLA from and against any claims and liabilities of third parties arising out of its usage or publication of the Image, including without limitation, claims of infringement of copyright, intellectual property rights, privacy rights or other rights of any third party.
Licensor agrees that his/her/its digital or electronic signature shall have the same force and effect as his/her/sits original handwritten signature. If Licensor is a company, firm or organization, the individual signing below represents that he or she is authorized to bind Licensor to the terms hereof.
