The Professionals Forum (TPF) and Sponsor acknowledge that each of them owns certain names, trademarks, service marks, copyrights and other intellectual property (the “Marks”), and owns or has certain merchandising rights in and to the Marks, and all goodwill associated with or symbolized by the Marks. It is understood that in connection with the Sponsorship, TPF and Sponsor may display certain Marks of the other party. Each party grants to the other a nonexclusive, non-transferable, royalty free license to use its Marks solely in connection with the Sponsorship and the advertising and promoting of any event or activity incidental thereto. Sponsor hereby grants to TPF a non-exclusive, non-assignable, non-sublicensable royalty-free right and license to use certain photographs, video or other imagery resulting from or used in connection with the Sponsorship. Any applicable taxes pursuant to the Sponsorship consideration shall be borne by Sponsor and shall be in addition to the Sponsorship fees or any other fees paid by Sponsor.
