This Agreement shall commence on [Date Signed] and continue for one year, unless terminated earlier as per the terms outlined herein.
1. Scope of Coaching Services
Coach agrees to provide coaching services to HOH in accordance with the "HOH Standards of Conduct," which is attached hereto as Exhibit A.
2. Background and Certification
All coaches are obligated to annually undergo USA Basketball certification and background checks as a prerequisite for their continued involvement.
3. Compensation
Compensation for coaching services, if any, will be as mutually agreed upon by both parties and outlined in a separate agreement.
4. Standards of Conduct
Coach agrees to adhere to the "HOH Code of Conduct" (Exhibit A) throughout the term of this Agreement.
5. Termination
Either party may terminate this Agreement with written notice if the other party breaches any material provision of this Agreement. The HOH board of directors has sole discretion to terminate Agreement for any reason with written notice.
6. Confidentiality
Coach agrees to keep all information obtained during the coaching relationship confidential.
7. Indemnification
Coach agrees to protect, defend, [hold harmless,] and indemnify (collectively “Indemnify” and “Indemnification”) [HOH], its subsidiaries, and its and their respective successors, assigns, directors, officers, employees, agents, and affiliates. Coach agrees release any claims, of liability on HOH for conduct or actions committed by other coaches, officers, directors, employees, agents and affiliates of HOH. This does not protect the offending aforementioned individuals/parties from liability if said actions violate the HOH code of conduct, or Federal, State/Local Laws.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Kansas].
9. Entire Agreement
This Agreement contains the entire understanding between the parties and supersedes all prior agreements.
Exhibit A: Coaches Code of Conduct
As a representative of HOH Hoops Organization ("HOH"), the Coach agrees to adhere to the following Code of Conduct and any breach of conduct will require notification of the Director of Operations.
1. Professionalism:
The Coach shall maintain the highest standards of professionalism in all interactions with players, parents, officials, and other stakeholders.
2. Respect:
The Coach shall treat all individuals with respect, recognizing and valuing the diversity of the players, their families, and colleagues.
3. Player Development:
The Coach is committed to the holistic (Physical, Emotional, Spiritual, Social, Intellectual) development of players, emphasizing skill-building, teamwork, and fostering a positive and inclusive environment.
4. Ethical Behavior:
The Coach shall act ethically, avoiding any behavior that compromises the integrity of the game or the reputation of HOH.
5. Safety:
The Coach shall prioritize the safety and well-being of players, ensuring that training sessions and games adhere to established safety protocols.
6. Communication:
The Coach will maintain open and transparent communication with players, parents, and HOH leadership, providing timely and constructive feedback.
7. Compliance:
The Coach shall comply with all applicable laws, regulations, and policies, including those set forth by HOH. Failure to comply may result in termination from the program as determined by the board of directors.
8. Confidentiality:
The Coach agrees to keep all confidential information about players and HOH confidential, both during and after the term of this Agreement.
9. Conflict Resolution:
The Coach shall address conflicts in a constructive manner, seeking resolution through open communication and cooperation. Any conflicts will be communicated to the Director of Operations within 24 hrs of occurrence.
10. Continued Professional Development:
The Coach is committed to continuous learning and improvement, staying current with coaching methodologies and best practices.
By signing this agreement, the Coach acknowledges receipt and understanding of the Coaches Code of Conduct and agrees to abide by its principles.
