Payments

*An interest charge of 2% per month (0.066% per day) will be added to all amounts overdue. RetroForceToy Store, LLC reserves the right to ship no further open orders or accept any pre-orders for over-due accounts until the outstanding balance is paid in full. *Overdue accounts with a credit card on file may be charged the amount due at RetroForceToy Store, LLC discretion. *We reserve the right to initiate legal action to collect all overdue amounts. Payment of all collection costs, including attorneys’ fees, incurred by RetroForceToy Store, LLC. to recover overdue amounts shall be paid by the customer.

*All charges incurred by the lack of above amenities will be the vendor's responsibility. Retroforcetoystore, LLC will not be held responsible for any charges incurred.
All shipments will be shipped via ground service unless otherwise specified by vendors.
If a shipping method has not been selected, all shipments will be sent via our preferred carrier and the shipping fee will be added to the invoice.
Customers with Routing Guides / Shipping Instructions must be provided to us prior to shipment.
Delivering to a residential address may incur additional charges. Any fees incurred in this manner will be the responsibility of the customer.
A service fee will be charged to any orders requiring special packaging. This fee will be determined on an individual basis.

Vendors must place an order for pre-order products before or on the date indicated on the offer sheet. Pre-orders that are made after the purchase order due date will not be guaranteed. Please verify the accuracy of all information on the purchase order, including pricing, SKU number and order quantities. Each offer sheet indicates our minimum order quantity (“MOQ”) requirement.

A purchase order for an in-stock item is valid only for fifteen days after the original date of the PO. An invoice will be provided within two working days of receiving a PO. Invoice will be voided / cancelled within fifteen days if the invoice does not get shipped. If purchase orders are cancelled for any reason more than three times a year, Retroforcetoystore,LLC reserves the right to close the vendor account and void all remaining orders.

*Retroforcetoystore,LLC reserves the right to assess a minimal handling fee on all less-than MOQ orders. *Customers who have not placed an order in a 12-month period may be removed from the mailing list and their credit terms may be suspended.

Returns or exchanges are not accepted. Only in instances of extensive damage on the shipment, defective merchandise or incorrect shipments may products be reviewed for possible return or exchange. An account manager will issue a credit memo upon inspection.

Retroforcetoystore,LLC will not accept the cancellation of the pre-order product, unless otherwise authorized by account manager. A 3% charge back of the total amount will be applied to all cancellations. Orders for in-stock items may only be cancelled if the order has not yet been processed for shipment.

• Retroforcetoystore, LLC is not responsible for any damage caused by the shipping company during transit.
• All claims for damaged or lost shipments must be filed with the delivering carrier within 7 days of receipt. All pieces of the damaged box(es) must be saved until the claim is settled. When possible, photographs of the damaged box(es) should be taken and emailed to an account manager.
• All claims for short-shipments or miss-shipments must be made within 5 days of receipt of goods. Note: Product packaging is intended to protect the item contained inside and cannot be replaced due to minor damage.

Retroforcetoystore, LLC reserves the right to discontinue business with any vendors, distributors or resellers that advertise, or sell any product(s) covered by a price lower than MAP.

• MAP pricing applies to all pre-order products and products that are less than three months of being released.
• Product release date will be posted on our website.
• 3 months after the product is released maximum of 10% discount on the SRP can be applied. Retroforcetoystore, LLC recognizes that vendors are free to make their own decisions and sell any product distributed by Retroforcetoystore, LLC at any price they choose, without consulting or advising Retroforcetoystore, LLC. Similarly, Retroforcetoystore, LLC will exercise its right to make its own decisions regarding the violations of this MAP policy. Violations of this policy may result in cancelation of any pending orders, restriction on future orders, or suspension of the vendors' account.

The MAP Policy applies to all advertisements of MAP Products in all media, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, as well as Internet sites, social media sites, apps, or any other electronic media. *The MAP Policy does not apply to on premise or in-store advertising that is not distributed to customers

All vendors must follow MAP policy. If a vendor with multiple store locations violates this MAP Policy at any one store location, or on any associated website, then Retroforcetoystore, LLC will consider this to be a violation by the dealer. Retroforcetoystore, LLC reserves the right to cancel any pending orders, restrict future orders, or suspend vendors' account if Retroforcetoystore, LLC reasonably believes:

• Retroforcetoystore, LLC is solely responsible for determining whether a violation of the MAP Policy as occurred, aswell as determining appropriate sanctions.
• A vendor has violated the provisions of this policy; or a dealer intends to violate this policy.

Waivers to this MAP Policy may be granted at the sole discretion of a Retroforcetoystore, LLC account manager in writing. Other personnel at Retroforcetoystore, LLC are not authorized to modify or grant exceptions to the MAP Policy. In the event that the account manager grants a waiver to the MAP Policy, vendors must strictly obey the terms of the waiver letter. Deviation from the terms of a waiver letter is a violation of the MAP Policy. The MAP Policy will be enforced by Retroforcetoystore, LLC in its sole discretion and without notice. Vendors, distributors, resellers, have no right to enforce the MAP Policy. Violations of this policy may result in cancelation of any pending orders, restrictions on future orders, or suspension of the vendor’s account.

This Agreement shall be governed by and construed under the laws of the State of California without regard to principles of conflict of laws. The parties irrevocably consent to the jurisdiction and venue of the state courts located in Los Angeles, California and federal courts located in Los Angeles, California in connection with any action relating to this Agreement.
