    TERMS AND CONDITIONS:

    L&A Babysitting, Inc. (“L&A Babysitting”) is committed to providing, among other things, a safe space for parents and babysitters to meet, communicate, and connect. This website is an online forum dedicated to meeting that goal of connecting parents and babysitters. The following terms and conditions are necessary in order to foster this unique forum.  If you, at any time, have any questions about L&A Babysitting, our website, or these terms and conditions, please feel free to contact us.  

    Terms of Use


    This page states the Terms of Use and Agreements (collectively “Terms”) under which you may use L&A Babysitting’s website and services.  

     These Terms constitute a binding agreement between you and L&A Babysitting and are deemed accepted by you each time that you use or access any L&A Babysitting webpage (collectively “the Website”) or service.  If you do not accept the Terms stated here, do not use the Website or L&A Babysitting’s services.  

    L&A Babysitting may revise these Terms at any time by posting an updated version to this web page. You should visit this page periodically to review the most current Terms because they are binding on you.  

    Users, such as you, who violate these Terms may have their access and use of L&A Babysitting services suspended or terminated, at L&A Babysitting’s discretion.  

    1.1 Use of L&A Babysitting Content

    L&A Babysitting authorizes you, subject to these Terms, to access and use the Website. You must be 18 years of age or older to visit or use the Website in any manner.

    The contents of L&A Babysitting’s website, such as designs, text, graphics, images, video, information, logos, button icons, software, audio files and other content are protected under copyright and other laws. All content is the property of L&A Babysitting. Unauthorized use of the L&A Babysitting content may violate these laws and/or applicable communications, regulations and statutes, and is strictly prohibited. 

    Any code that L&A Babysitting creates to generate or display any its content or the pages making up any L&A Babysitting’s website is also protected by L&A copyright and you may not copy or adapt such code.

    You agree not to sell or modify the L&A Babysitting content or reproduce, display, publicly perform, distribute, or otherwise use the L&A Babysitting content in any way for any public or commercial purpose, in connection with products or services that are not those of the L&A Babysitting sites, in any other manner that is likely to cause confusion among consumers, that disparages or discredits L&A Babysitting, or that otherwise infringes upon its intellectual property rights. You further agree to in no other way misuse L&A Babysitting content. The use of L&A Babysitting content on any other application, web site, or in a networked computer environment for any purpose is prohibited. Any code that L&A Babysitting creates to generate or display any its content or the pages making up any Application or Service is also protected by L&A Babysitting copyright and you may not copy or adapt such code.

    1.2 Use of Services

    The Website offers a means by which parents may seek, secure, connect, and schedule babysitting services from babysitters like you.  You agree to pay a monthly subscription fee and to comply with the Terms outlined herein in exchange for access to the Website. 

    After passing a background check, as described below, you will be permitted to create a profile, which will be posted to the Website.  Violation of these Terms, including but not limited to L&A Babysitter Rules (see Sec. III), may result in immediate cancellation of your subscription and your access to the Website, and/or the deletion of your online profile/account. 

    L&A Babysitting reserves the right to immediately terminate your access to all or part of the Website and/or cancel your subscription without notice for any reason or no reason in its sole discretion, including without limitation if L&A Babysitting should determine that you are not eligible to use its services, that you have violated these Terms, that you are not suitable to be a L&A Babysitting member, or that you have misused or misappropriated Website content. 

    If at any point you have a question about L&A Babysitting’s services, please feel free to contact us.       

    1.3 Third-Party Status

    Neither your agreement to nor any of these Terms should be construed as an offer of employment by L&A Babysitting.  You are not an employee of L&A Babysitting.  You are not an agent of L&A Babysitting.  You can neither negotiate nor bind L&A Babysitting to any agreement with any third party.  

    The website merely provides a vehicle for you to connect and communicate with parents.  L&A Babysitting does not assign nor control the manner in which you work.  You set your own schedule and work as frequently or infrequently as you like.  

    L&A Babysitter Rules (see Sec. III) do not create any employment relationship.  These Terms in general exist for everyone’s safety and are necessary in order for this Website to function effectively.

    By agreeing to these Terms, you expressly acknowledge that no employment relationship exists between you and L&A Babysitting.        

    1.4 Background Check

    Before providing access to the Website, you agree to undergo a background check.  L&A Babysitting requires a background check on all subscribers (parents and babysitters) before permitting access.  This background check is necessary for everyone’s safety.

    The background check consists of a two-step process, consisting of an interview and a background check conducted by an outside third-party company of L&A Babysitting’s choosing.  L&A Babysitting will carefully review the results of the background check.  L&A Babysitting may deny access to the Website if a subscriber withholds information, provides false information, and/or if the results of the background check raise any concerns.  L&A Babysitting’s review and decisions to deny access to the Website are final.        

    The results of the background check are the property of L&A Babysitting and will be kept confidential to the fullest extent permitted by law.  

    1.5 Monthly Fee

    In addition to agreeing to these Terms, you also agree to pay a monthly fee of $20.00.  New subscribers shall pay a $30.00 starter fee with an additional background check fee. All payments to L&A Babysitting shall be made via Sterling and/or in a method and manner accepted by Sterling.    

    1.6 Arbitration Clause

    To the extent any dispute arises between you and L&A Babysitting, both parties mutually agree to resolve any justiciable disputes between them exclusively through final and binding arbitration before a single arbitrator instead of filing a lawsuit in court.  

    This arbitration agreement is governed by the Federal Arbitration Act and shall apply to any and all claims arising out of or relating to these Terms, L&A Babysitting’s services, and all other aspects of your relationship with L&A Babysitting, past or present, whether arising under federal, state, or local statutory and/or common law.  

    Initiation of Arbitration
    If either party wishes to initiate arbitration, the initiating party must notify the other party in writing within the applicable statute of limitations period.  This demand for arbitration must include: the name and address of the party seeking arbitration; a statement of the legal and factual basis of the claim; and a description of the remedy sought.  Any demand for arbitration must be delivered to: 169 William Road Massapequa NY 11758..

    Class Action Waiver
    You agree to waive your right to have any dispute or claim brought, heard, or arbitrated as a class action, collective action, and/or representative action.  Notwithstanding any other clause contained in these Terms, any claim that all or part of this Class Action Waiver is unenforceable, unconscionable, void or voidable may be determined only by a court of competent jurisdiction and not by an arbitrator.  

    Third Party Status
    You acknowledge that by agreeing to these terms, including this arbitration agreement, that it does not change your status as an independent third-party subscriber, that you are not an employee of L&A Babysitting, and that any disputes in this regard shall be subject to arbitration as provided in this agreement.   

    Choice of Rules
    Any arbitration shall be governed by the JAMS Comprehensive Arbitration Rules and Procedures and/or any other rules or procedures that both parties mutually agree to.  

    L&A Babysitter User Account
    In order to use most aspects of the L&A Babysitting services, you must register for and maintain an active personal user account.  Account registration requires you to submit to L&A Babysitting certain personal information, as described below.  You agree to maintain accurate, complete, and up-to-date information in your account.  Your failure to maintain accurate, complete, and up-to-date account information may result in your inability to access or use L&A Babysitting services.  You are responsible for all activity that occurs under your account, and you agree to maintain the security and secrecy of your account username and password at all times.  

    Unless otherwise permitted by L&A Babysitting in writing, you may only possess one account.  

    You agree to comply with all applicable laws when accessing or using L&A Babysitting services.  You may not in your access or use of the Website or L&A Babysitting services cause nuisance, annoyance, inconvenience, or property damage.  

    2.1 Confidentiality of User Account

    You are responsible for maintaining the confidentiality of your account, profile, and passwords, (collectively “account”) as applicable. You may not share your password or other account access information with any other party, temporarily or permanently, and you shall be responsible for all uses of your account, whether or not authorized by you. You agree to immediately notify L&A Babysitting of any unauthorized use of your account, profile, or passwords.

    2.2 Ownership of User Account

    You agree and acknowledge that your account is the property of L&A Babysitting.  L&A Babysitting may cancel, delete, and/or alter your account within its discretion, for among other reasons, violation of these Terms.  

    You may not authorize another third party to use your account.  You may not assign or otherwise transfer your account to any other person or entity.  

    Upon cancellation and/or end of your subscription, you have no rights to the content, design, information, source code, or other data saved to your account.   

    2.3 User Account

    In order to create an account, you must first submit to a background check, as described above.  After review of the background check is complete, you must provide the following information for your account:

    Name;
    Address;
    Mobile Telephone Number; and
    Email address.
    After creating an account, you will be able to create a profile page.  On your profile page, you may provide your name; profile picture; some commentary; your rate of pay; and the location in which you can provide services.  

    L&A Babysitting reserves the right to review all profile pages and to remove any content it finds offensive, disparaging, and/or inappropriate.  

    2.4 Rating System/Commentary

    Parents may rate and/or comment about babysitters using the Website.  L&A Babysitting reserves the right to review and/or delete any rating or comment posted on the Website.  If you have questions about the rating system or concerns about your rating, please contact us.  This system is in place to improve our forum for our users.    

    You may not terminate your registration and re-register in order to prevent a review from being associated with your account. Re-registering under those circumstances is grounds for immediate termination of your membership with L&A Babysitting. 

    L&A Babysitter Rules
    3.1 Babysitter Do’s and Don’ts 


    As a babysitter, you understand the following:

    Be on time. While you are free to set your own schedule, it is important that once you have made a commitment you honor it. A situation may arise where you are delayed due to traffic, or for some other reason. In those situations, please text the parents directly.


    First impressions count. It is important to come prepared and to act professionally with parents, both in person and when communicating with them via the Website.


    If you have not worked for a particular parent, please arrive 15-20 minutes earlier so both children and parents can get comfortable with you.
    Always bring a telephone charger with you. Your telephone should always be charged and operating.


    Be sure to save parent contact information to your phone in case you need to contact them or erase the conversation by accident.


    Never answer landline telephone, unless you see the parent’s name on caller id. Your cell phone should be the main source of communication.


    Never call parents or let their children call parents, unless it is an emergency. While you are babysitting, never text parents asking them when they will be home. Before the parent leaves, confirm that the parent will return at the times you previously agreed to. When asking them for confirmation, you should ask the parent for an estimated time when he or she will be home. You should not make the parent feel like you are rushing them to return home.


    Text updates to parents. Unless told otherwise, we recommend texting parents with updates once every couple of hours, letting them know how everything is going. The younger the child or children, the more frequent the updates. Regardless of the age, we recommend texting parents letting them know that their child or children have gone to bed.


    After children fall asleep, we recommend checking on them once every couple of hours.


    We recommend that you do not make plans immediately after your scheduled time, assuming parents will be home on time or early.


    You may take a quick personal call or text message while watching children, but try to keep the message and/or conversation brief. You are there to watch and play with the kids. While they are awake, your focus should be on them, not on your mobile device. Once they go to sleep you can use your cell phone.
    Do not have any long telephone calls at or near the time parents are expected home. It does not look good to be talking on the telephone when the parents come home.


    While watching children your telephone use should be minimal to none. You should not be spending time on social media, while watching children. You further may not take pictures and/or post anything about the children you are watching.


    You may not fall asleep while babysitting, unless the children are also asleep, your cell phone is fully charged or plugged into a charger, an alarm is set to wake you before parents are expected home, and the parents are not expected to be home until after 12:00 a.m.


    There is absolutely no vandalizing or stealing of money or property from any family. If it comes to L&A Babysitting’s attention that such an act took place, in addition to reporting such an act to the proper authorities, your access to the Website and L&A Babysitting services will be immediately terminated.


    If any member of L&A Babysitting texts you about a job or a concern, you must respond within a timely manner (a few hours or throughout the day).
    You are not a housekeeper, but please try to keep the house neat and organized. Try to put away toys after children are done playing with them; clean off tables and/or countertops when you are finished using them; and to the extent any dishes or glasses are used, please clean them before parents come home.


    You are always welcome to eat while at a babysitting job. If you decide to not bring your own food, please do not eat anything that looks expensive or important. Try to keep to simple snacks, such as a sandwich.


    Kids will be kids. Sometimes situations arise and/or you may get agitated with a child’s behavior. Rather than immediately texting parents, please try to handle the situation on your own. If you need advice about how to handle a situation and/or just need to vent, feel free to contact our team through our group chat. We are here to help.


    If children misbehave, you can tell their parents, but try to be professional and understanding. Do not complain to parents about children's behavior. If what occurred was minor, try to avoid mentioning it.


    No one but yourself is permitted at a babysitting job.


    You are permitted only TWO coverages per month. Coverages must be found on your own by reaching out to team members or asking in advance. If you do not find coverage, you MUST go to the babysitting job regardless.


    Submit your availability every week even if you are unavailable and make sure to let L&A know if there are any vacation or long periods of time upcoming where you cannot babysit.


    12 noon is the latest to request backup and be obligated to take jobs (if available and on backup) on the same day.


    Parents are not permitted to text you directly unless you are physically at their house babysitting their children. If a parent does attempt to reach out to you before a scheduled reservation, you may respond back to the parent in a GROUP CHAT with them and L&A Babysitting.


    After-School parents are allowed to text you sometime before the reservation to schedule a quick Facetime meeting with you if it is your first time babysitting for them (which eliminates the 15-20 minutes). They may also text you with instructions for a reservation on the morning of.


    Never tell a parent when you joined or anything about your schedule as this can make them either nervous or become attached to you. Simply say something along the lines of “I am unsure of my future schedule as it always changes, you can always request me and if I am available I will definitely come babysit for you! If I’m unavailable, you’ll be assigned another great team member.”


    You must be paid for the amount of children in the home regardless if independent or sleeping. If you are underpaid, please let us know immediately within 24 hours.


    We ask our team members to try their best to take at least one Saturday evening reservation a month, although you can take as many reservations as you’d like! We can get very booked over the weekends.
    Three strikes penalty rule: first strike is a warning, second strike is probation from the team depending on the severity of the situation, and third strike is termination from the team.


    3.2 Job Coverage

    Do not post and/or accept jobs if you are unsure about your availability.  Once you accept a job from a parent you are responsible for doing the job.  We understand that situations and conflicts may arise, but you are responsible for getting the work done.  If you need coverage for a job you may reach out to other babysitters approved by L&A Babysitting and ask for assistance.  

    Babysitters may not seek coverage more than twice per month.  If you are not available you should not accept work from a parent.  It looks unprofessional for a babysitter to accept a job and then continuously find coverage.  Additionally, it is unfair to other babysitters using the Website.  

    If you are having car trouble or your vehicle is at an auto mechanic, you are still responsible for completing the jobs you agreed to and for arriving on time.    

    You may not outsource work obtained from the Website to other babysitters who are not part of or approved by L&A Babysitting.  The parents should know at all times who will be in their home. 

    3.3 Violation of L&A Babysitter Rules

    L&A Babysitting reserves the right to take any action permissible under the law against those that violate these Terms.  

    For minor offenses, L&A Babysitting employs a three-strike system.  For his or her first offense, L&A Babysitting provides a warning; for the second offense L&A Babysitting will temporarily suspend access to the Website; and for the third offense, L&A Babysitting will suspend an individual’s access permanently.  Whether an offense is “minor” is in the sole discretion of L&A Babysitting. The existence of the three-strike system does not limit L&A Babysitting’s right to terminate a member’s account at its discretion.   

    L&A Babysitting reserves the right to amend and/or modify its disciplinary procedures depending on the particular circumstances.  

    L&A Babysitting’s Liability


    The Website acts as, among other things, a venue for connecting parents and babysitters.  L&A Babysitting is not a party to and does not control transactions between parents and babysitters.  As a result, L&A Babysitting is not responsible for parents’ and babysitters’ employment relationship.

    While L&A Babysitting reserved the right in its sole discretion to remove user content, posting, commentary, or other material form the Website, L&A Babysitting does not assume any obligations to do so and to the extent permitted by law, disclaims any liability for failing to take any such action.  

    L&A Babysitting, to the extent possible, takes steps to provide a safe forum and experience for all users, but there are risks, including but not limited to the risk of physical harm, of dealing with third parties met via the internet.  You assume all risks associated with dealing with others users with whom you come in contact through the Website.  By its very nature other people’s information may be offensive, harmful, or inaccurate, and in some cases will be mislabeled or deceptively labeled.  We expect that you will use caution and common sense when using the Website.       

    Because user authentication on the Internet is difficult, L&A Babysitting cannot and does not confirm that each user is who they claim to be. Because we do not and cannot be involved in user-to-user dealings or control the behavior of participants on the Website, in the event that you have a dispute with one or more users, you release L&A Babysitting (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes to the fullest extent permitted by law.

    The Website may contain inaccuracies or typographical errors. L&A Babysitting makes no representations about the accuracy, reliability, completeness, or timeliness. The use of the Website and all L&A Babysitting content is at your own risk. Changes are periodically made to the Website and may be made at any time. L&A Babysitting cannot guarantee and does not promise any specific results from use of its Website. No advice or information, whether oral or written, obtained by a user from L&A Babysitting or through or from the Website shall create any warranty not expressly stated herein.

    If you believe that something on the Website violates these Terms please contact us.

    If notified of any content or other materials which allegedly do not conform to these Terms, L&A Babysitting may in its sole discretion investigate the allegation and determine whether to remove or request the removal of the content. L&A Babysitting has no liability or responsibility to users for performance or nonperformance of such activities.

    4.1 Disclaimer of Warranty

    We work hard to provide the best services we can and to specify clear guidelines for everyone who uses our services and the Website. Our services, however, are provided "as is," and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline).  

    L&A BABYSITTING MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES.  L&A BABYSITTING DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD PARTY PROVIDERS.  YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. 

    4.2 Disclaimer of Consequential Damages

    TO THE FULLEST EXTENT POSSIBLE BY LAW, IN NO EVENT SHALL L&A BABYSITTING OR ANY THIRD PARTIES MENTIONED ON ANY L&A BABYSITTING SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA, LOST EMPLOYMENT OPPORTUNITY OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE AND THE L&A BABYSITTING CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT L&A BABYSITTING IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    L&A BABYSITTING SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER, EVEN IF L&A BABYSITTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  L&A BABYSITTING SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND L&A BABYSITTING’S REASONABLE CONTROL.  

    4.3 Limitation of Liability

    TO THE FULLEST EXTENT POSSIBLE BY LAW, L&A BABYSITTING'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY L&A BABYSITTING SITE OR YOUR USE OF THE L&A BABYSITTING CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED $100.

    4.4 Indemnity

    You agree to defend, indemnify, and hold harmless L&A Babysitting, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any user content or other material you provide to the Website, (ii) Your use of any L&A Babysitting Services and/or the Website, or (iii) Your breach of these Terms. L&A Babysitting shall provide notice to you of any such claim, suit, or proceeding.

    4.5 Disputes between Babysitter and Parents

    L&A Babysitting provides a venue for parents and babysitters to meet and connect.  It is not a party to any agreements reached between babysitter and parents.  It is not responsible for any disputes or disagreements between babysitters and parents.  As described above (Section 1.3), you are not an agent or an employee of L&A Babysitting and you may not intentionally or inadvertently bind L&A Babysitting to any agreement with any third party.  

    If due to your misrepresentation, regardless of whether your representation was intentional or not, you give the appearance that you represent, are employed by, or have the power to bind L&A Babysitting to any agreement, L&A Babysitting will to require you to defend it and hold harmless against any damages, settlement, costs, and/or attorneys fees.  

    Privacy Policy
    L&A Babysitting takes your privacy, your personal information, and the use of that information very seriously.  Please read the following to learn more about our Privacy Policy.  By using or accessing the Services in any manner, you acknowledge that you accept the practices and policies outlined in this Privacy Policy, and you hereby consent that we will collect, use, and share your information in the following ways.

    Please remember that your use of the Website is at all times subject to the Terms which incorporate this Privacy Policy.  

    5.1 Scope of Privacy Policy

    This Privacy Policy covers L&A Babysitting’s treatment of personally identifiable information ("Personal Information") that it gathers when you are accessing or using its Services, but not to the practices of companies it does not own or control, or people that it does not manage. L&A Babysitting gathers various types of Personal Information from its subscribers, as explained in more detail below, and it uses this Personal Information internally in connection with its Services, including to personalize, provide, and improve its services, to allow you to set up a user account and profile, to contact you and allow other users to contact you, to fulfill your requests for certain products and services, and to analyze how you use the Services. In certain cases, L&A Babysitting may also share some Personal Information with third parties, but only as described below.

    L&A Babysitting does not knowingly collect or solicit personal information from anyone under the age of 18. If you are under 18, please do not attempt to register for the Services or send any personal information about yourself to L&A Babysitting. If L&A Babysitting learns that it has collected personal information from a child under age 18, we will delete that information as quickly as possible. If you believe that a child under 18 may have provided us personal information, please contact us.

    5.2 Changes to Privacy Policy

    L&A Babysitting is constantly trying to improve its Services, so it may need to change this Privacy Policy from time to time as well, but it will alert you to changes by placing a notice on the Website, by sending you an email, and/or by some other means. If you use the Services after any changes to the Privacy Policy have been posted, that means you agree to all of the changes. Use of information L&A Babysitting collects now is subject to the Privacy Policy in effect at the time such information is collected.

    5.3 Information Collected

    L&A Babysitting receives and stores any information you knowingly provide to it. For example, through the registration process and/or through your account settings, it may collect Personal Information such as your name, the geographic area in which you reside, email address, and phone number. Certain information may be required to register with L&A Babysitting or to take advantage of some of its features. 

    L&A Babysitting may communicate with you. For example, if you've given us your email address, L&A Babysitting may send an email about your use of the Services. 

    5.4 Information Automatically Collected

    L&A Babysitting may use this data to customize content for you that it thinks you might like, based on your usage patterns.     5.5 Sharing of Personal Information

    We do not rent or sell your Personal Information in personally identifiable form to anyone.

    Certain subscriber profile information, including your name, location, and any image content that such subscriber has uploaded to the Website, may be displayed to other subscribers to facilitate user interaction within the Website or address your request/offer for services. 

    Please remember that any content you upload to your public profile, along with any Personal Information or content that you voluntarily disclose online in a manner other users can view (on discussion boards, in messages and chat areas, etc.) becomes publicly available, and can be collected and used by anyone. 

    Your user name may also be displayed to other users if and when you send messages or comments or upload images or videos through the Services and other users can contact you through messages and comments. 

    We reserve the right to access, read, preserve, and disclose any information that L&A Babysitting [reasonably] believes is necessary to comply with law or court order; enforce or apply the Terms and other agreements; or protect the rights, property, or safety of L&A Babysitting, its subscribers, or others.

    5.6 Security

    Your account is protected by a password for your privacy and security. You must prevent unauthorized access to your account and Personal Information by selecting and protecting your password and/or other sign-on mechanism appropriately and limiting access to your computer or device and browser by signing off after you have finished accessing your account.

    L&A Babysitting endeavors to protect the privacy of your account and other Personal Information it holds in its records, but unfortunately, it cannot guarantee complete security. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of subscriber information at any time. 

    5.7 Access to Personal Information

    Through your account settings, you may access, and, in some cases, edit or delete the information you've provided to L&A Babysitting.

    The information you can view, update, and delete may change as the Website and/or the Terms change. If you have any questions about viewing or updating information L&A Babysitting has on file about you, please contact us.

    5.8 Questions about this Policy

    You can always opt not to disclose information to L&A Babysitting, but keep in mind some information may be needed to register with L&A Babysitting or to take advantage of some of its features.

    You may be able to add, update, or delete information as explained above. When you update information, however, L&A Babysitting may maintain a copy of the unrevised information in its records.

    Miscellaneous
    6.1 Choice of Law

    These Terms and the agreements contained therein, and all matters relating to or arising under these Terms, shall be governed in all respects by and construed in accordance with the laws of the State of New York, without giving effect to principles of conflicts of law, except as may be otherwise provided in the Arbitration Clause above.  As described, the Federal Arbitration Act, shall apply to any such disputes.   

    6.2 Enforceability/Severability/Waiver

    If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions of these Terms shall not be affected by such determination and shall be binding upon the parties and shall be enforceable as though said invalid or unenforceable provision were not contained in these Terms.  This provision shall not affect the Severability and Survivability section of the Arbitration Clause of these Terms.  

    6.3 Headings

    The headings of these Terms are intended solely for convenience of reference and shall be given no effect in the interpretation or construction of these Terms.  

    6.4 No Presumption

    For purposes of interpretation of the terms of these Terms, neither party shall be considered the drafter of these Terms.

    6.5 Reservation of Rights

    L&A Babysitting reserves all rights not expressly granted to you.  

    6.6 Feedback

    We always appreciate your feedback and other suggestions about L&A Babysitting services.  But you should know that we may use them without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.  

    6.7 Assignment/Third Party Beneficiary

    You will not transfer any of your rights or obligations under these Terms.  These Terms do not confer any third-party beneficiary rights. 

    6.8 Entire Agreement

    These Terms make up the entire agreement between you and L&A Babysitting regarding your use of the Website and the use of L&A Babysitting services.  These Terms supersede any prior agreement.
