Terms & Conditions for Membership Program
These Terms & Conditions (“Terms”) govern participation in the Sagan Membership Program (the “Membership”) offered by Sagan World LLC, a Wyoming limited liability company (“Sagan”), by the enrolling customer (“Member”). Enrollment in the Membership constitutes Member’s agreement to these Terms.
1. Membership Term and Fees
The Membership is a twelve (12)-month annual commitment (the “Membership Term”). The full annual fee is owed upon enrollment. Member may pay either (a) in one lump-sum payment at the start of the Membership Term, or (b) in twelve (12) equal monthly installments. The monthly installment option is a financing arrangement of an annual fee only and does not convert the Membership into a month-to-month subscription. Member is entering a binding one-year agreement, and the full annual fee is non-cancelable and due in full for the entire Membership Term.
Main Street Membership: $12,000 per year, payable either in full upfront (with 10% discount) or in twelve (12) equal installments of $1,000 each.
Enterprise Membership: $38,000 per year, payable either in full upfront (with 10% discount) or in twelve (12) equal installments of $3,166.66 each.
Other Tiers: From time to time, Sagan may introduce additional Membership tiers or variations. Unless explicitly stated otherwise in writing at the time of enrollment, all such tiers shall be subject to and governed by these same Terms & Conditions, including all payment, renewal, and cancellation provisions.
Main Street Members: additional hires (beyond the included 6 credits per year) are charged at 18% of the candidate’s annual projected total compensation. Enterprise Members: additional hires (beyond the included 30 credits per year) are charged at 18% of the candidate’s annual projected total compensation. Other tiers: additional hires (beyond any included credits per year) are charged at 18% of the annual projected total compensation, unless otherwise agreed.
Membership provides access to Sagan’s recruiting resources and processes, discounted partner and vendor terms, community, training, templates, expertise, and support throughout the Membership Term. Member acknowledges that the value of the Membership is in this access, not in any specific outcome or number of hires. Member’s decision not to use any particular service, resource, or benefit does not entitle Member to cancel, refund, or offset any portion of the Membership Fee. All payment obligations remain in full effect for the entire Membership Term.
2. Payment Terms and Authorization
Payments begin on the enrollment date, with each subsequent installment automatically charged on the same calendar day each month. Member authorizes Sagan to process all installment payments using the payment method provided until the annual fee is paid in full. If any payment is not received when due, Sagan may, after reasonable notice, charge the payment method on file for the total amount then outstanding under Member's annual commitment or pursue collection of the same. This authorization remains in effect until all amounts owed are paid. Failure to maintain valid payment information may result in temporary suspension of services but does not cancel or reduce Member’s annual payment obligation.
3. Renewal and Cancellation
Membership renews automatically for successive one-year terms under the same terms and pricing unless Member provides written notice of non-renewal at least thirty (30) days before the current term ends. If renewed automatically, Member has a fourteen (14)-day grace period to cancel, provided no Membership benefits have been used after renewal. No other cancellations, refunds, or early terminations are permitted during an active term.
Sagan may terminate a Membership immediately for cause, including but not limited to: breach of Agreement terms, abusive or disruptive behavior toward other community members or Sagan staff, failure to pay hired candidates, or conduct that undermines the integrity of Sagan's services or community. No refund is provided for termination for cause. Sagan may also cancel any Membership at its discretion without cause. In such cases, Sagan will refund all amounts paid to Sagan by Member for the current term, less eighteen percent (18%) of annual compensation for each Hire made through Sagan's services. A "Hire" means any hire made by Member using any of Sagan's recruitment processes, including customized recruitment, specialized searches, talent pool, live hiring events, or other facilitated channels. Annual compensation is calculated based on the rate quoted for the candidate presented by Sagan.
4. Chargeback and Dispute Policy
Member acknowledges that installment payments are part of a binding annual Membership commitment. Member agrees not to dispute or charge back authorized installments except in cases of proven fraud. Cancellation of a credit card or revocation of authorization does not terminate the obligation to pay the annual fee. Billing questions and disputes must be submitted in writing to success@getsagan.com.
5. Membership Benefits
Members receive access to recruiting support, templates, community resources, and educational programming including: • Recruitment services tailored to tier limits • Templates and SOPs for global talent • Owner & Manager Community and Global Talent Community with live office hours • Sagan University workshops, leadership, and skill courses • Pre-screened candidate pool and vetted freelancer list. Sagan may, from time to time, update, add, remove, modify, or enhance specific Membership features, resources, or benefits to improve the program experience. The core recruitment services and support associated with each tier will remain available throughout the Membership Term. Such changes to individual offerings do not constitute an amendment to these Terms and may occur without prior notice.
6. Membership Access
Access to the Owner and Manager Community is available for up to six (6) individuals in management. Any number of global-talent employees may access the Global Talent Community. Additional access may be arranged with Sagan.
7. Non-Solicitation
During the Membership Term and for one (1) year thereafter, Member shall not directly or indirectly solicit, recruit, hire, contract, or engage any person employed by or contracting with Sagan without written consent. This restriction does not apply to candidates introduced by Sagan for Member hire. If breached, Member shall pay Sagan, as liquidated damages, a one-time fee equal to two (2) years of Member’s then-current monthly Membership fee for each affected individual. This clause survives termination of the Membership.
8. Marketing References
Sagan may reference Member's name, logo, and experience in marketing materials, including but not limited to case studies, posts, and webinars. Member may opt out by emailing success@getsagan.com and Sagan will accommodate Member’s request within thirty (30) days.
9. Disclaimer of Warranties
Sagan provides all services, materials, templates, training, and benefits “as is,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Sagan does not warrant that any candidate, contractor, or service will meet Member’s expectations or produce any particular result. All hiring, engagement, and employment decisions and practices are solely Member’s decision and responsibility.
10. Indemnification
Member shall indemnify, defend, and hold harmless Sagan, its affiliates, officers, directors, employees, and agents from any and all claims, actions, damages, or expenses arising from or related to (a) Member’s acts or breach of these Terms; (b) Member’s use of any candidate, contractor, or Sagan service; or (c) any third-party claim related to Member’s operations or employment practices. Sagan will promptly notify Member of any claim for which indemnification is sought. Member shall not settle any claim that imposes obligations on Sagan without Sagan's prior written consent.
11. Limitation of Liability
To the fullest extent permitted by Delaware law, Sagan shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, or goodwill. Sagan's total aggregate liability for any and all damages, whether direct or indirect, arising out of or related to this Agreement or Member's use of the Services, shall not exceed the total fees actually paid by Member to Sagan during the twelve (12) months preceding the date the cause of action accrued, or one hundred dollars ($100), whichever is greater. These limitations shall not apply to damages arising from Sagan's fraud or fraudulent misrepresentation. These limitations survive termination of this Agreement and apply regardless of the form of action, whether in contract, tort, strict liability, negligence, or otherwise, and even if Sagan has been advised of the possibility of such damages.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-laws principles.
13. Amendments
Sagan may amend these Terms periodically. Members will be notified of material changes via email or dashboard notice. Minor updates to program offerings or resources do not require notice under this Section.
14. Dispute Resolution
Any dispute shall first be addressed in good faith through an in-person meeting in San Diego, California, within thirty (30) days of written notice. If unresolved, the dispute shall be submitted to mediation, and if necessary, binding arbitration administered by JAMS in San Diego, California, under its Comprehensive Arbitration Rules. Delaware law shall govern, and the prevailing party shall be entitled to reasonable attorneys’ fees and costs.
15. Force Majeure
Sagan shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet or utility failures, or government actions.
Acknowledgment
By enrolling in the Sagan Membership Program, Member acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
