non-disclosure agreement

This Non-Disclosure Agreement ("NDA") is made effective as of the date signed by and between ALO HA PSYCHOLOGICAL ASSOCIATES, INC, a California professional corporation, herein referred to as "Company," and the person listed below, an individual engaged as an intern student under a formal training agreement, referred to as "Student."

1. The Company delivers specialized professional services via its licensed clinicians, known as the "Practice."
2. Student is a duly recognized and an active intern student having an official Student Training Agreement with the Company via SDSU.
3. In light of the foregoing, and in consideration of the mutual promises, terms, and conditions set forth herein, the parties agree as follows:

1. Term of Engagement: Commencing from the Effective Date, the Company shall engage the Student for an unspecified duration, referred to as the "Student Term."
   
   
2. Strict Confidentiality and HIPAA Compliance:
   
   (a)   During and post the Student Term, unless mandated by law or specifically authorized by the Company, the Student shall neither disclose nor exploit any confidential or proprietary information related to the Company’s operations. This includes, but isn't limited to, patient care details, training modules, policy frameworks, research or development initiatives, medical standards, data metrics, business intel, financial figures, vendor contracts, patient directories, referral channels, and all such knowledge not accessible to the general public. Breaching this section will be considered a serious infringement of this NDA. The Student recognizes that this NDA is supplementary to other legal protections the Company has against unauthorized information disclosures.
   
   (b)   Student is obligated to handle all patient medical details with utmost confidentiality, adhering to all relevant laws and regulations, especially the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). Disclosure of such information is restricted except under this NDA, with (i) patient or their legal representative's explicit consent, (ii) a binding court order from a competent court, or (iii) as per the stipulations of the law. The Student confirms current and continued compliance with all HIPAA norms applicable.
   
   
3. Maintenance of Medical Records: The Student is responsible for maintaining comprehensive and precise records pertinent to the services offered. This includes any necessary documentation, claim reports, quality checks, or management studies mandated by the Company. All patient-related documentation created or updated by the Student is owned exclusively by the Company.

A breach of this NDA by the Student can lead to immediate remedial actions, which may include legal proceedings. The Student acknowledges and accepts the penalties, including potential damages, that might result from any breach of this agreement.

This NDA supersedes all prior oral or written understandings between the Company and the Student, constituting the full agreement related to the subject matter herein. Any modifications to this agreement must be in writing and signed by both parties.

IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement as of the Effective Date.
