The following board director responsibilities were reviewed by the Board of Directors and approved as an association policy. As a nominee or current director to the board you are willing to make every effort to fulfill these responsibilities.
1. Support the mission statement.
2. Fulfill the duties of care, obedience and loyalty to the organization.
3. Maintain a professional level of courtesy, respect and objectivity in all matters and activities.
4. Participate in regular assessments to improve board performance.
5. Participate in strategic planning activities as needed.
6. Each Board member will attend all Board meetings and actively participate in decision making.
a. Board members may attend in-person or via audio conference
b. MANA Board meetings will be conducted using “Roberts Rules of Order” and each Board member
will be familiar with “Roberts Rules of Order”.
c. If a Board member cannot attend a Board meeting he/she will notify the MANA Executive Director, Krissy Wolstenholme, by email: kwolstenholme@jaffemanagement.com.
d. Each Board member will miss no more than one Board meeting in the fiscal year.
e. If a Board member misses two Board meetings in the fiscal year this topic will be put on the agenda of the second absence.
f. Board members will be punctual for meetings.
g. Board meetings will be called to order promptly on the published dates and times.
7. Each Board member will attend at least one political function in the fiscal year.
8. Contribute at the Gold Level to the Friends of Minnesota Nurse Anesthetists PAC.
9. Each Board member will review the MANA website (www.mnana.org) for accuracy.
10. Each Board member will respond to all Board email correspondence within 24 hours.
11. Each Board member will review and become familiar with the MANA Bylaws.
12. Each Board member will review and agrees to follow MANA Policies.
13. Each Board member will read and understand the financial statements and otherwise assist the Board in fulfilling its fiduciary responsibility.
14. Each Board member will work to develop new leadership and recommend potential board members to the nominating committee.
15. Each Board member will attend the MANA Fall Educational and Business Meeting.
16. Each Board member will attend the following AANA meetings: Fall Leadership Academy and Mid-Year Assembly. Travel expenses for these meetings will be reimbursed according to the MANA Travel Policy.
17. Each Board member will serve on at least one committee or task force.

Purpose:Manages the organization and acts as official representative.

1. Shall be the chief executive officer of MANA
2. Shall supervise and direct the affairs of MANA and keep the Board informed of MANA affairs
3. Presides at all meetings of the membership, Board and Executive Committee
4. Appoints committee and task force chairs subject to the approval of the Board of Directors
5. Shall be a member ex officio of all committees, except the Nominating Committee
6. Prepares an annual report for presentation at the annual membership meeting
7. Writes “President’s” column for each newsletter
8. Approves expenditures according to MANA policy.
9. Represents MANA at the AANA Annual Meeting, AANA Mid-Year Assembly and AANA Fall Leadership Academy when feasible.
10. Appoints tellers and registrars prior to voting if needed.
11. Keeps the Board of Directors and members informed of MANA affairs.
12. Responds to correspondence on behalf of MANA or delegates that correspondence to the most appropriate individual.
13. Signs contracts on behalf of MANA with approval of the board as needed
14. Mentors and facilitates the transition of President-Elect to President
15. Supervises and evaluates the activities of contracted services
16. Ensures annual board self-evaluation
17. Ensures a current strategic plan is in place and ensures its implementation via reports at Board meetings as appropriate

18. In the absence or disability of the President, the President-Elect performs all duties of the President
19. Serves as the champion of the strategic plan throughout the year (reviews prior to each board meeting to provide a status report to the board).
20. Represents MANA at the AANA Mid-Year Assembly and AANA Fall Leadership Academy when feasible.
21. Shall communicate on a regular basis with the President to learn the workings of MANA and obtain an operational knowledge
22. Develops goals and objectives for their term as President of MANA

Purpose:Shall oversee the maintenance of documents and minutes

Provides for the keeping and distribution of accurate minutes of all meetings and for the custody of the records, documents and papers of MANA.
23. Ensures members are notified of their election to the Board of Directors and of their committee appointments.
24. Ensures members are notified of meetings including date, time and location.
25. Ensures notification of the American Association of Nurse Anesthetists of the names and addresses of the Officers and Directors after their election, names of committee members after their appointment and reports of the meetings or other activities as required.

Ensure that all monies received or disbursed are done so in accordance with MANA policy.
26. Approves expenditures according to MANA policy.
27. Gives a report of MANA’s financial transactions and status at the Annual Meeting and/or upon request to the Board of Directors
28. Ensures the maintenance of accurate financial records of the Association.
29. Ensures annual Federal, State and Local tax forms are filed
30. With the assistance of the Finance Committee, develops and presents an annual budget to the board for approval

Purpose:Actively serves on the MANA Board to maintain appropriate operations

31. Actively participates on at least one committee during term on the board
32. Adopts resolutions and policy statements representing the position of MANA
33. Adopts the annual budget for MANA
34. Represents the best interests of membership in Board deliberations
35. Assists MANA officers in providing oversight on future direction in meeting the goals of the organization and membership growth
36. Actively participates in Board meetings (regular and special) and the governance of the association through formulation, review, and execution oversight of the business decisions guiding the overall direction of MANA
37. Represents MANA to federal and state policy makers, other organizations/associations, potential members, patients and hospital administrators, etc.
38. Assists with identifying and recruiting future leaders for committee and board participation
Position Title:Student Representative

Purpose:To act as liaison between Associate members and the MANA Board

The following criteria must be met before being considered for the student representative position for each school:
An enrolled student, in good academic standing at one of the accredited nurse anesthesia programs in the state of Minnesota
A student member of the American Association of Nurse Anesthetists (AANA)
Expectations: Serves as a role model/mentor to prospective and current students. Shall take opportunities to educate current students on the importance of MANA as a professional organization and encourage involvement.
Serves as a mediator of student issues and concerns to the MANA board.
To the extent possible attends all MANA board meetings, the annual MANA fall meeting and conference, AANA Mid-Year Assembly, and any other events determined by the Board. Any travel required will be funded with a Student Representative budget.
At all of the activities, the student will participate at the level requested by the MANA board.
Each school representative will write one Student Address for an edition of the MANA Gasline, and the group manages the SRNA FaceBook page.
Student Reps work with the Professional Development Committee to plan and coordinate the Student Session at the Fall Education Conference.

39. Be responsible to the MANA Board
40. Review MANA Bylaws and Policies for an understanding of relevant association policies and rules
41. Assist with the implementation of the strategic plan
42. Develop goals and activities for your committee and the mechanisms by which to accomplish these goals based on discussion w/ Board or current Chair
43. Schedule meetings according to the needs of the committee
44. Ensure meeting minutes are archived with MANA files
45. Submit reports to the Board as requested (for regular and special board and membership meetings)
