CONFIDENTIALITY AGREEMENT Bella’s Boutique (Casa Lucerito Inc.)
For Employees and Volunteers This Confidentiality Agreement(“Agreement”) is made between Bella’s Boutique, its parent organization Casa Lucerito Inc., and the undersigned employee or volunteer (“Participant”). Bella’s Boutique operates as a nonprofit organization dedicated to providing meaningful services and programs to the community. In the course of performing duties, Participants may have access to confidential, sensitive, or proprietary information. This Agreement ensures the protection of that information and the privacy of all individuals associated with Bella’s Boutique. 1. Definition of Confidential Information For purposes of this Agreement, “Confidential Information” includes, but is not limited to: Donor information (names, contact details, donation history, financial contributions, valuation of donated items)· Customer information, including personal data collected during purchase or donation transactions. Internal business records, financial reports, pricing strategies, operational procedures, vendor information, inventory systems, and fundraising data· Employee, volunteer, or program participant information such as contact details, work history, personal circumstances, or any identifying information· Information related to Casa Lucerito programs, scholarship recipients, workshop participants, or individuals receiving services· Any non-public information discussed in staff meetings, trainings, emails, or organizational communications Confidential Information includes all written, electronic, verbal, visual, or observed information, whether intentionally or incidentally accessed. 2. Participant Obligations The Participant agrees to: Maintain strict confidentiality regarding all Confidential Information obtained during their involvement with Bella’s Boutique.· Use Confidential Information solely for legitimate organizational purposes and only as required for assigned duties.· Not disclose, share, copy, alter, reproduce, discuss, or distribute any Confidential Information with unauthorized individuals, whether inside or outside the organization.· Protect documents and electronic data, ensuring they are not accessible to unauthorized persons.· Report any suspected breach or loss of Confidential Information to a supervisor or organizational leadership immediately.· Return all organizational materials (documents, keys, electronic files, devices) upon completion of service or termination of employment/volunteer status. 3. Duration of Confidentiality The confidentiality obligations described in this Agreement:· Begin immediately upon signing, and Continue indefinitely, even after the Participant’s employment or volunteer service ends.· There is no expiration to this obligation. 4. Exceptions Confidential Information may be disclosed only if required by law, subpoena, or court order. If such a situation arises, the Participant agrees to notify Bella’s Boutique’s leadership immediately before any disclosure is made, unless legally prohibited. 5. Consequences of Breach Any violation of this Agreement may result in:· Immediate termination of employment or volunteer service· Legal action or civil remedies· Reporting to relevant agencies if the breach involves protected information· Bella’s Boutique reserves all rights to pursue appropriate remedies permitted by law. 6. No Ownership Rights Conveyed Nothing in this Agreement grants the Participant ownership or independent rights to any Confidential Information. All materials remain the property of Bella’s Boutique and Casa Lucerito Inc.. 7. Acknowledgment of Understanding By signing this form, the Participant acknowledges that:· They have read and fully understand this Agreement.· They understand the importance of protecting Confidential Information and agree to comply with all obligations listed above.· They understand and acknowledge that failure to comply may result in termination and legal consequences.· They enter into this Agreement voluntarily and without reservation.

VOLUNTEER LIABILITY WAIVER & RELEASEAGREEMENT Bella’s Boutique (Casa Lucerito Inc.)
This Volunteer Liability Waiver and Release Agreement (“Agreement”) is entered into by the undersigned volunteer(“Volunteer”) and Bella’s Boutique, including its parent organization Casa Lucerito, its board of directors, officers, employees, agents, and representatives (collectively, the “Organization”). By signing this Agreement, the Volunteer acknowledges and agrees to the terms below as a condition of participating in any volunteer activity with Bella’s Boutique. 1. Volunteer Status (Not an Employee)The Volunteer understands and agrees that:· They are not an employee of Bella’s Boutique or Casa Lucerito.· They will not receive wages, benefits, workers’ compensation coverage, or other employment-related payments.· Their time and services are offered freely and without expectation of compensation, now or in the future. 2 . Assumption of Risk The Volunteer acknowledges that participation in Bella’s Boutique activities involves certain inherent risks, which may include but are not limited to:· Lifting, moving, sorting, or handling donations· Exposure to dust, cleaning products, or potentially hazardous items· Interaction with customers and the general public· Use of equipment, carts, tools, or step stools· Slips, trips, falls, or other accidents· Transportation or movement of goods, asapplicable The Volunteer voluntarily assumes all risks, both known and unknown, associated with their volunteer activities. 3. Agreement to Follow Safety Procedures The Volunteer agrees to:· Follow all safety instructions, policies, and training provided by Bella’s Boutique· Use required protective gear (gloves, closed-toe shoes, etc.)· Immediately report unsafe conditions, injuries, or concerns to staff· Not engage in any task they feel is unsafe or beyond their capabilities· Failure to follow safety procedures may result in dismissal from volunteer activities. 4. Release of Liability To the fullest extent permitted by New Mexico law, the Volunteer hereby releases and holds harmless: Bella’s Boutique, Casa Lucerito Inc, its board of directors, officers, employees, agents, volunteers, and representatives from any and all claims, liability, demands, damages, losses, or causes of action arising out of or related to:· Injury (physical or emotional)· Illness or exposure to infectious conditions· Personal property loss or damage· Accidents or incidents occurring during volunteer service· except in cases of gross negligence or willful misconduct by the Organization. The Volunteer understands that because Bella’s Boutique is a private nonprofit, protections available to volunteers serving governmental entities under the New Mexico Tort Claims Act may not apply, making this written release necessary and enforceable. 5. Medical Treatment Authorization In the event of illness or injury during service:· The Volunteer authorizes Bella’s Boutique to obtain emergency medical treatment if required.· The Volunteer agrees to be responsible for all resulting medical costs.· The Organization is not responsible for medical expenses or insurance coverage. 6. Indemnification The Volunteer agrees to indemnify and defend Bella’s Boutique and Casa Lucerito Inc against any third-party claims arising from their actions while volunteering, except where the Organization is found to be grossly negligent or engaging in willful misconduct. 7. Photo and Media Release The Volunteer grants permission for Bella’s Boutique to use photographs, video, or audio recordings taken during volunteer activities for promotional, educational, or fundraising purposes without compensation. Volunteers may opt out by initialing below. 8. Term and Scope This Agreement remains in effect for the duration of the Volunteer’s involvement with Bella’s Boutique. The confidentiality and release provisions survive termination of volunteer service. 9. Governing Law This Agreement is governed by the laws of the State of New Mexico. Any disputes shall be resolved in the appropriate courts of New Mexico. 10. Acknowledgment and Acceptance By signing below, the Volunteer acknowledges that they:· Have read this Agreement fully and understand its terms· Understand that they are giving up certain legal rights· Sign voluntarily and without coercion· Agree to comply with all Bella’s Boutique policies and safety procedures.
