This Dispatch Service Agreement ("Agreement") is entered into by and between Tia Wallace of Inheritrix Logistics ("Dispatcher") and First Name* Last Name* ("Carrier") as of Date* .

1. SCOPE OF SERVICES
1.1. The Dispatcher agrees to provide dispatch services to the Carrier for the transportation of freight within the United States.
1.2. The Carrier agrees to exclusively utilize the services of the Dispatcher for the dispatch of its freight.
1.3. The Dispatcher shall use its best efforts to provide efficient and timely dispatch services to the Carrier, including but not limited to assigning loads, negotiating rates, and maintaining communication with the Carrier and shippers.

2. OBLIGATIONS OF THE DISPATCHER
2.1. The Dispatcher shall use reasonable efforts to match available loads with the Carrier's equipment and preferences.
2.2. The Dispatcher shall communicate all relevant load details to the Carrier, including pick-up and delivery locations, requirements, and any special instructions.
2.3. The Dispatcher shall negotiate freight rates with shippers on behalf of the Carrier, taking into consideration market conditions and the Carrier's cost structure.
2.4. The Dispatcher shall provide ongoing support to the Carrier to ensure the successful completion of each dispatched load.

3. OBLIGATIONS OF THE CARRIER
3.1. The Carrier shall exclusively utilize the Dispatcher's services for the dispatch of its freight.
3.2. The Carrier shall promptly inform the Dispatcher of the availability of its equipment and any specific preferences or restrictions related to the acceptance of loads.
3.3. The Carrier shall comply with all applicable federal, state, and local laws and regulations, including but not limited to safety and operating standards.
3.4. The Carrier shall promptly inform the Dispatcher of any changes to its insurance, authority, or other pertinent information that may affect the provision of dispatch services.

4. PAYMENT TERM
4.1. The Carrier agrees to pay the Dispatcher a dispatch fee of 8-10% of each load dispatched by the Dispatcher on behalf of the Carrier. The dispatch fee shall be agreed upon and outlined in each specific load confirmation.
4.2. The Carrier agrees to promptly remit the dispatch fee to the Dispatcher within the agreed-upon terms, typically within 2 days of receiving payment for the dispatched load.
4.3. The Dispatcher shall invoice the Carrier for the dispatch fee, providing all necessary documentation and details related to the dispatched loads.

5. TERM AND TERMINATION
5.1. This Agreement shall commence on the date of execution and shall remain in effect until terminated by either party with fourteen (14) days' written notice.
5.2. Either party may terminate this Agreement with immediate effect in the event of a material breach by the other party, subject to a cure period of thirty (14) days.
5.3. Upon termination of this Agreement, the Carrier agrees to promptly settle all outstanding dispatch fees with the Dispatcher.

6. CONFIDENTIALITY
6.1. The parties agree to keep confidential all information and data shared by the other party in connection with the provision of dispatch services under this Agreement.
6.2. The parties shall not disclose any confidential information to third parties without the prior written consent of the disclosing party.

7. MISCELLANEOUS
7.1. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
7.2. Any modification to this Agreement must be made in writing and signed by both parties.
