This agreement below sets out Hannah Ruth Estates Sourcing & Packaging Ltd (Sourcing Agent) and Yours the (Client) terms in respect with sourcing/ finding properties for you.

KEY TERMS OF BUSINESS

• Not to contact in any way or solicit contact through third parties any vendors of property introduced by the agent and/or agency indirectly or directly for a period of 2 years without the agent/agency’s written permission.
• Not To orally interact and/or correspond only with the agent and/or agency and/or their legal advisers unless the agent/agency gives written permission for direct contact with any vendor introduced under this NCNDA.
• Not to circumvent the obligations agreed hereunder by any means whatsoever.
• To comply with The Money Laundering, Terrorist Financing and transfer of funds regulations 2017 we must carry out some checks on you and the funds that you wish to use in any transaction.
• This agreement is governed by, and is to be construed in accordance with, English Law. The English courts will have exclusive jurisdiction to deal with any dispute which has arisen or may arise out of, or in connection with, this agreement.

NON-DISCLOSURE/CIRCUMVENTION

• Have the affirmative obligation to hold the Confidential Information in the strictest of confidence and to protect the Confidential Information from disclosure to any third party.
• Take all steps necessary to protect the Confidential Information from disclosure and shall implement internal procedures to guard against such disclosure.
• Only use the Confidential Information for the Business Purpose defined above and shall not use such Confidential Information, or any part of it, for its own purposes or the purposes of any other party.
• Only permit disclosure to individuals within its organization that have a bona fide need to know such information in connection with the Business Purpose.
• Advise each person to which disclosure is permitted herein that such information is the confidential and proprietary property of the Agent and/or Agency and may not be disclosed to others or used for the purposes of the party to whom disclosure is being made.
• Not release the confidential information to a need to know party unless they execute an agreement containing the restrictions and protections set forth in this Agreement.
• NOT to directly or indirectly approach any agent(s)/ we introduce you to within 60 days of the first introduction without prior written permission or following the payment in full of the finders fee and signing of the full terms of business.
• NOT to contact directly or indirectly any vendors or agents we introduce you to within 60 days of the first introduction without prior written permission or following the payment in full of the finders fee and signing of the full terms of business.
• NOT to disclose any business dealings, property details, or conversations between themselves and Hannah Ruth Estates Sourcing & Packaging LTD on any public forum including social media, internet or forums.
• The Client has agreed to conduct all business through Hannah Ruth Estates Sourcing & Packaging LTD in relation to any disclosed properties. If the buyer makes any attempt to deal directly with the vendor or estate agents, they agree to compensate Hannah Ruth Estates Sourcing & Packaging LTD to the sum of 100% of the fee for their work in finding, researching and securing the said properties.
• The Client is hereby agreeing to pay Hannah Ruth Estates Sourcing & Packaging LTD the full finders fee specified on a deal by deal basis at a minimum £3000 to 2% of PP for any property the client decides to proceed with upon exchange of contracts.
• All communications between the parties about the contract shall be in writing or sent by electronic mail: hannah@hannahruthestates.com
