VOLUNTEER AGREEMENT
1. Volunteer Conditions. I desire, on my own free will, to volunteer my time and service to International Association of Canine Professionals Inc. (the “Nonprofit”) only under the terms and conditions of this agreement. My time and service in this volunteer capacity are given without promise, expectation or receipt of any form of compensation, benefits or other remuneration for this service.
I understand that my participation as a volunteer may be terminated at any time, without cause, and that I may withdraw from participation at anytime for any reason.
CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
1. Background. International Association of Canine Professionals Inc. (the “Nonprofit”), a Texas non-profit organization owns, controls and has exclusive access to proprietary and confidential information concerning the operations, processes, methods, employment, financial, counseling and other information related to its organization, members, prospective members and vendors incidental its operation.
2. Disclosure of Confidential Information. Volunteer acknowledges that, upon execution of this Agreement and solely by reason of volunteering at the Nonprofit, Volunteer may come into possession of, have knowledge of, or contribute to the confidential information.
3. Covenants, Agreements, Representations and Warranties of Volunteer. In consideration of Volunteer serving at the Nonprofit, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Volunteer covenants, agrees, represents and warrants as follows:
A. All of the confidential information is a valuable asset of the Nonprofit and is, will be and shall at all times remain, the sole and exclusive property of the Nonprofit.
B. Volunteer shall, at all times, hold the confidential information as secret.
C. Volunteer shall neither directly nor indirectly cause or permit the exploitation, copying or summarizing of any of the confidential information, except in the performance of Volunteer’s duties for the Nonprofit or as otherwise directed by the Nonprofit.
4. Intellectual Property. You expressly acknowledge that the volunteer services rendered and any resulting work including associated intellectual property created by you hereunder, and your services hereunder, are the property of the Nonprofit. We shall be the sole and exclusive owner and copyright proprietor of all rights and title in and to the results and proceeds of your services hereunder in whatever stage of completion, subject only to any rights granted to our clients, if any. If for any reason the results and proceeds of your services hereunder are determined at any time not to be owned by the Nonprofit, you hereby irrevocably transferand assign to us all right, title and interest therein, including all copyrights, as well as all renewals and extensions thereto. Nevertheless, upon written permission you may display the works you have contributed to in your personal portfolio.
5. Binding Arbitration. Any and all claims or disputes arising from or related to this Agreement, other than a claim for injunctive relief, shall first be submitted to mediation in Lampasas County, Texas in accordance with the rules of the American Arbitration Association. If the parties cannot resolve their dispute through mediation, they shall have the issue resolved through arbitration with the then governing rules of the American Arbitration Association. Judgment upon an arbitration award may be entered in the District Court for the County of Dallas, Texas. The IACP and Volunteer shall bear their own costs related to any mediation or arbitration proceeding.
6. Governing Law. This Agreement has been executed and delivered in the State of Texas, and its validity, interpretation, performance, and enforcement shall be governed by the laws of said State regardless of any conflict of law provisions. Venue for any action taken in a court of law relating to this agreement shall be in Dallas, Texas. The invalidity or unenforceability of any particular provision, or part of any provision, of the Agreement shall not affect the other provisions or parts hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provisions or parts were omitted.
