Liability Agreement

This Liability Agreement ("Agreement") is entered into on signed date by and between Chicago Pet Services, Inc., located at 4108 N. Rockwell, Chicago IL 60618 , and Dog Tribe, LLC, located at 4108 N. Rockwell, Chicago IL 60618 , collectively referred to as the "Parties."

WHEREAS, Chicago Pet Services, Inc. and Dog Tribe, LLC wish to engage in business activities together;

WHEREAS, it is understood that certain risks may be associated with the business activities conducted by the Parties;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Limitation of Liability: Chicago Pet Services, Inc. and Dog Tribe, LLC agree that neither party shall be held liable for any damages, losses, injuries, or claims arising out of or related to the business activities conducted under this Agreement, except in cases of gross negligence or willful misconduct.

2. Indemnification: Each party agrees to indemnify, defend, and hold harmless the other party and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the business activities conducted under this Agreement.

3. Insurance: Each party agrees to maintain adequate insurance coverage to protect against any potential liabilities arising out of or related to the business activities conducted under this Agreement.

4. Compliance with Laws: The Parties agree to comply with all applicable laws, regulations, and industry standards in the performance of their obligations under this Agreement.

5. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.

6. Entire Agreement: This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
