TAXPREPBOSS CONTRACT
In this agreement signing agent is referred to as “Preparer”, while Ms B Tax Prep and Resolution Services is referred to as “Company.”
Independent Contractor Agreement
This agreement is entered into between Ms B Tax Prep and Resolution Services LLC and Preparer. The agreement is effective immediately upon signing.
Services
Preparer agrees to perform the following services: tax preparation services, client file management, and document retention. As an independent contractor, Preparer will be responsible for obtaining your own tax clients.
Pay
Preparer is entitled to receive a portion (agreed upon percentage) of tax preparation fees collected from client for preparation services rendered and will not be paid in instances where no fees are collected from client. Preparer will not be paid until such time as that refund is issued. Preparer is responsible for establishing the fee that is charged to each client. Preparer payment is funded by classification of the PTIN. Payment will be made in the following order: system fees, ERO fees, then preparer split fee. Any reduction in the clients return may impact the preparer's compensation. In such cases, the preparer has the option to pursue the remaining payment directly from the client. In circumstances where the tax payer is paid directly from IRS (by passing the banking product) taxpayer is still responsible for tax preparation fees. As the Preparer, it's your responsibility to check your client status to ensure that if they are paid via check from IRS that the fees are paid. As Preparer you are bound to the obligation of paying your agreed upon percentage royalty of tax prep fees collected from your client to Company. In instances where you are unable to collect, Company will assist in collection efforts which could result in tax payer being forwarded to Company's partnering collection agency. If forwarded to collections due note that if payment is recovered the fee will be reduced by a min of 30%.
Relationship of Parties
It is understood that Preparer is an independent contractor with respect to company, and not an employee of Company. As such Company will NOT provide fringe benefits, including but not limited to health insurance benefits, paid vacation leave, or any other employee benefits for the benefit of the Preparer.
Roles and Responsibilities
Preparer agree to perform their duties as assigned by the ERO. Preparer acknowledges and agrees to stay within the scope of their assigned duties and responsibilities, refraining from over stepping into task or decisions reserved for the ERO. Any concerns regarding roles and responsibilities should be addressed directly with the ERO for clarification and resolution. Preparer is required to send their clients returns to their own client. It is not the EROs job to send returns. It is the preparer duty to verify all information provided by taxpayer and ensure no errors are submitted due to preparer lack of attention to detail.
Training and Attendance
Preparaer agrees to complete all required training courses by the deadlines provided. It is the preparers responsibility to manage their time to ensure all training moules, assignments, and assessments are completed on schedule.
Attendance at Meetings: The preparer is required to attend all scheduled Zoom meetings and training sessions. These meetings are an essential part of the training process and are mandatory unless otherwise excused in advance. Absence without prio approval may result in prearer being behind in studies and can possibly delay growth.
Note- Taking and Participation : Preparer is expected to actively participate in all training sessions and meetings. This includes detailed notes, asking questions, and engaging in discussions. Notes should be comprehensive and retained for future reference and review.
Accountability: Preparer acknowledges that they are solely responsible for their own learning and development. Failure to complete training courses on time, attned cheduled meetings, or actively participate may affect performance.
Termination
This agreement automatically terminates 12/31/2026 and can be renewed upon contract renewal.
Preparer can be terminated prior to termination date if failure to comply with standards set forth by the company. Termination can be at any time if the contractor releases or obtains clients personal information for malicious or fraudulent intent.
PTIN
Preparer is required to obtain and maintain a Preparers Tax Identification Number (PTIN) in accordance with the IRS’ rules and regulations in place during period covered by this agreement. Preparer will not be allowed to prepare a return as contractor for company without a registered PTIN. This agreement become null and void if Preparer fails to obtain or, for any reason ceases to have a valid PTIN.
Code of Conduct
Preparer is required to govern himself/herself in accordance with all relevant state and federal laws that address tax return preparation. Preparer agrees to prepare return in accordance with the due diligence requirements set forth by the Internal Revenue Service.
Non Compete
During the term of this agreement, preparer shall not directly or indirectly , consult for participate in the ownership, management operation, or control of any other business that provides tax preparation contractor services similar to those offered by the Company's business model.
Non-Solicitation of Clients: Preparer agrees that during the term of this agreement, they will not solicit or attempt to directly solicit any clients or customers of the Company for purposes of providing tax preparation services.
Liability
Preparer is liable following all applicable rules and regulations in the state in which they operate.Preparer is to verify all infomration provided by the taxpayer. Preparer is responsible for correcting any errors or omission whether intentional or not without compensation from the Company. Preparer agrees that any liabilities in the association with services rendered within this agreement will be that of the Preparer and not the Company.
File and Record Maintenance
Company will maintain all client return files in accordance with rules and regulations set forth by IRS. Preparer is responsible for creation of files. Prepare may access clients’ files as needed. Preparer acknowledges the awareness of proper record keeping and due diligence requirements. Preparer is required to send their clients returns to their clients.
Confidentiality
Preparer must NOT duplicate, replicate, or release business processes to third party. Preparer agrees to NOT use, reproduce, or distribute intellectual propertywithout prior written consent of the company. Preparer must maintain confidentiality of client records and ensure that client records are stored securely and in compliance.
Business Expenses
Any expenses associated with Preparers’ provisions of services is the responsibility of the preparer and will NOT be reimbursed by Company
Governing Law
This agreement shall be governed by and construed in accordance with the laws of Virginia, without regard to its conflict of law principles.
