THIS VENDOR AGREEMENT is made between MARKETING SOLUTIONS & EVENTS and VENDOR for the purpose of setting forth the exclusive terms and conditions by which MARKETING SOLUTIONS & EVENTS desires to include the vendor in any events. In consideration of the mutual obligations specified in this Agreement, the parties, intending to be legally bound hereby, agree to the following: DISRESPECT OR UNPROFESSIONALISM WILL NOT BE TOLERATED AND IF YOU ARE ASKED TO LEAVE YOU WILL NOT BE REFUNDED. THIS MAY ALSO RESULT IN YOU ARE BEING BAND FROM FUTURE EVENTS OR EVEN THE MALL.WE CANNOT PROMISE SPACES! IF YOU REQUEST A SPACE WILL MAKE A NOTE BUT THE MALL HAS FINAL SAY AND IF THEY PUT SOMEONE IN THAT SPACE, WE CANNOT DO ANYTHING ABOUT IT! ABSOLUTELY NO DESIGNER BRANDS OR KNOCK OFF BRANDS. THESE ARE EXCLUSIVE TO MALL STORES WHO HAVE CONTRACTS WITH THESE BRANDS (NO EXCEPTIONS) NO HANDWRITTEN SIGNAGE! NO CARDBOARD IS TO BE SEEM! SETUPS MUST LOOK PROFESSIONAL! CLEAN UP YOUR TRASH! HAWKING IS NOT PERMITTED AND YOU WILL BE BAND AFTER BEING WARNED! (NO REFUNDS FOR BREAKING RULES)! If you have paid for an event via our website, YOU STILL NEED TO DO AN APPLICATION IN ORDER TO PARTICIPATE! ALL PAID VENDORS WILL RECEIVE AN EMAIL DOCUMENT WITH THE EVENT DETAILS THE WEEK OF THE EVENT. IF YOUR INVOICE GETS CANCELED BECAUSE IT DIDN'T GET PAID ON TIME THERE IS A $25 FEE TO REINSTATE IT AND PARTICIPATE.YOUR CONTRACT AND APPLICATION IS WITH MARKETING SOLUTIONS AND EVENTS! IF YOU HAVE A PROBLEM OR NEED ASSISTANCE YOU MUST CONTACT US. DO NOT CONTACT THE MALL FOR ANY REASON UNLESS SECURITY IS REQUIRED FOR SAFETY ASSISTANCE.1. BOOTH EQUIPMENT: PATRICK HENRY MALL agrees to furnish exhibit space, ESTIMATED 10X10, ONE OR TWO TABLES and two chairs. All materials and decorations used in booths must meet city fire department standards for inflammability and be professionally presented. No exhibit will be permitted to protrude into adjoining booths, electrical and drain aisles. No extra tables will be permitted in booth space. VENDORS are provided ONE OR WO TABLES and are permitted to bring one additional rack in their booth space. Displays on floor and table are not to exceed six feet in height and must remain inside 10 x 10 space provided WITHOUT LOOKING CLUTTERED. It is recommended that you bring something to cover your tables/racks. DO NOT ASK THE MALL FOR THESE ITEMS AND DO NOT TAKE COVERS FROM OTHER TABLES. DO NOT TAKE CHAIRS FROM ANOTHER SPACE. THE MALL CAMERAS ARE ROLLING! Violations of these terms will be directed to adjust display or may be subject to removal from the event with possibility of being asked NOT to return. NO refund provided to VENDORS asked to leave by MARKETING SOLUTIONS & EVENTS or PATRICK HENRY MALL. 2. SUBLETTING: No booth space may be assigned, sublet, or shared with another firm without the written consent of MARKETING SOLUTIONS & EVENTS. No VENDOR shall exhibit in his space any other goods, apparatus, service, advertising signs, etc., other than those sold or manufactured by him in his regular course of business without written consent from MARKETING SOLUTIONS & EVENTS. All GOODS sold by VENDOR during event must be included on VENDOR APPLICATION and approved by MARKETING SOLUTIONS & EVENTS. Violation of this rule shall be cause of eviction without refund.3. PAYMENTS AND REFUNDS: No VENDOR will be permitted to set up until all outstanding indebtedness is paid. Payments for events are due 14 days prior to the event start date. Outstanding balances after that date are subject to a $25 late fee. Invoices that are still unpaid 3 days prior to the event start date will be cancelled and VENDOR will not be permitted to set up at the event. DEPOSITS ARE REQUIRED. Accounts with no deposit are subject to being replaced by another vendor. Under NO CIRCUMSTANCE will DEPOSITS be refunded outside of the exception listed below. NO REFUNDS will be made if VENDOR cancels. VENDOR will be responsible for the entire booth rental fee. No refund on booth space will be made to any VENDOR who is asked to leave the show because of illegal operations, violation of show rules or City Ordinances, nor shall PATRICK HENRY MALL be liable for any expenditure's attendants to such termination. In the event of cancellation of the show, all deposits and fees will be returned to VENDOR, but PATRICK HENRY MALL will not be liable for damages or extra expenses due to cancellation.4. SPACE AGREEMENT:4a. Vendors may request a specific location within the mall for their set up on their application, however, this location is NOT guaranteed. If the location that is requested required an additional fee that has already been paid, MARKETING SOLUTIONS & EVENTS will refund the additional fee if the space is unavailable, and VENDOR will be placed another location within the mall.4b. All exhibits must be in order with all packing cartons and trash disposed of prior to the show opening. VENDOR will be responsible to surrender, at the close of the show, your space in the same condition it was when occupied. In the event of damage, VENDOR will be subject to damage claims as are necessary to restore space to its original condition.4c. VENDOR must obtain written approval from PATRICK HENRY MALL to use microphones prior to the date of the event.4d. Exhibit space must be able to contain a reasonably sized audience if demonstrations are planned. Aisles cannot be blocked. Demonstration booths are not allowed on main aisles and VENDOR is responsible for booking a Center Court space if demonstrations are intended WITH PRIOR APPROVAL from PATRICK HENRY MALL.4e. All exposed parts of the display must be finished or covered to avoid an unsightly appearance when viewed from adjoining booths or aisles.5. OPENHOUSE AND STAFFING: Booths should be staffed during all open hours of the show. Booth staff will be admitted 2 hours before the show opens and cannot remain in the show more than 1 hour after show closes. Booth must be completely loaded in and set up by the time the mall opens. VENDORS that are NOT set up at the time of opening will NOT be allowed to set up their booth. Cash and carry sales from booths are permitted, but VENDOR must file appropriate sales tax reports. All promotional and sales activity must be confined to the contracted booth space. All sound-making equipment or promotions must be maintained at a level acceptable to PATRICK HENRY MALL. VENDOR agrees to conduct business in a professional and ethical manner.**VENDORS WILL NOT TAKE DOWN OR LEAVE PRIOR TO THE END OF SHOW unless prior approval for special circumstances or sell out.6. SPECIAL SERVICES: Electricity, water, and other utilities if available, may be secured through the facility. The need for an electrical outlet at your booth should be marked on the application above and may be subject to an extra fee. Show rentals and other services available through show decorator. PATRICK HENRY MALL will not handle VENDOR shipments to the facility. Arrangements should be made through the Show Decorator.7. SECURITY: Please watch your stuff and be courteous of other vendors. PATRICK HENRY MALL will not be responsible for, nor will it guarantee the VENDOR against loss of any kind. VENDOR agrees to indemnify and hold harmless PATRICK HENRY MALL and its co-sponsors (MARKETING SOLUTIONS & EVENTS), the facility, and the city, from and against any and all liability, claims, demands, expenses, fees, fines, penalties, suits, proceedings, actions, and cause of actions of any and every kind and nature arising or growing out of, or in any way connected with VENDOR activities on the property of event.8. MATERIALS SUBJECT TO LICENSE OR RESTRICTION: VENDOR shall bear sole responsibility and liability for any and all licenses and /or fees, which arise under United States Copyright Laws. Within the leased space and within such space as the VENDOR may use for the presentation of any lecture, demonstration and/or performance, this responsibility and liability shall apply to all performances, both live and recorded, of music or other materials subject to restriction and/or license. VENDOR is not allowed to sell knock-off, replicas, or fake items of any brands or resell any items of any brands. Items must be original design with no copy cat logos. These brands and logos are subject to copyright laws and are in violation of your contract.9. SPECIAL RULES:VENDOR agrees to abide by all Federal, State, City, and Show regulations now in existence or that may hereafter be made.Signing this agreement gives PATRICK HENRY MALL & MARKETING SOLUTIONS & EVENTS permission to publish your company name as a participant. **PATRICK HENRY MALL reserves the right to discontinue any exhibit in violation of show rules and to terminate this agreement, with or without cause, at any time during the term hereof without liability of any kind. No verbal agreements will be recognized by PATRICK HENRY MALL; PATRICK HENRY MALL reserves the right to alter or relocate booth positions for whatever reason it deems necessary. All disputes, arising from any cause whatsoever, among VENDORS shall be adjusted by PATRICK HENRY MALL whose decision shall be final.In the event of severe weather, it is the VENDOR responsibility to take all the necessary precautions to secure their exhibit and display items. 10. APPLICABLE LAW; FORUM; LEGAL FEES: This agreement will be governed by VIRGINA Law. Jurisdiction and venue of all disputes is permitted in the Circuit Court and General District Court, NEWPORT NEWS, VA VENDOR will pay to, MARKETING SOLUTIONS & EVENTS, on demand all legal fees and costs incurred by MARKETING SOLUTIONS & EVENTS in any proceedings to enforce this Agreement.

SET UP DETAILS 1. You can set up 2 hours prior to the mall opening. It is your responsibility to check the website for hours. You can enter the mall through the security door between Dick's and Macy's. Once inside there will be tables, find your name and setup. You CANNOT be late. If you are late, you will not be permitted to setup for that day with no refund! 2. We do a lot of promoting and advertising, however we do recommend that you share the event/flyer and advertise to your following as well. 3. WE WILL NOT TOLERATE DISREPECT TOWARD OTHER VENDORS, MALL STAFF, SECURITY OR OUR TEAM! WE WILL NOT GARANTEE SPECIFIC PLACEMENTS. You can request but nothing is guaranteed because the mall has the final say due to the locations of the permanent tenants.
