Welcome to the CTRL Route Dispatcher-Carrier Agreement initiation process specifically designed for owner-operators. At CTRL Route, we prioritize efficient and rewarding partnerships. As we embark on this venture, your role as an owner-operator with your own equipment is crucial. To facilitate a seamless and mutually beneficial collaboration, please complete and submit the essential documents: the Dispatcher-Carrier Service Agreement (this document), your MC Authority certification, proof of current insurance, and a signed W-9 tax form. Additionally, the carrier profile form and the closing agreement statement are vital for collecting the necessary details to tailor our dispatch services to your needs. Completing and signing this agreement promptly will enable us to provide you with optimal dispatch solutions.

Dispatcher-Carrier Service Agreement: The official document confirming your agreement to the terms specified within and formalizing our service relationship.

Carrier Profile Form: Collects specific information about you as an owner-operator, including details about your trucking equipment, certifications, dispatch preferences, operational regions, insurance specifics, and preferred methods of payment.

Closing Agreement Statement: The final acknowledgment and acceptance of all terms by both parties, officially starting our agreement.

Efficient Paperwork and Communication Management: Handling all necessary paperwork and maintaining seamless communication with brokers and shippers allows drivers to focus on the road.

Focused Responsibility: Concentrating solely on administrative functions, ensuring clarity and efficiency in operations.

Commitment to Drivers:
a. Continuous Load Efforts: Working tirelessly to ensure trucks are loaded efficiently and continuously.
b. Transparent Load Opportunities: Informing drivers of all potential load opportunities, empowering informed decisions.
c. Accurate Invoicing and Load Confirmations: Managing invoicing and providing clear load confirmation feedback for each transaction.
d. Timely Payment Requirement: Requiring payment for dispatch services at the time of invoicing, aligning financial transactions with service delivery.

Payment to Dispatcher: The carrier agrees to compensate the dispatcher by paying an 8% commission on the face value of each load. The dispatcher is not responsible for any fees, charges, or costs incurred by the carrier in the course of fulfilling their transport duties. This includes, but is not limited to, tolls, fuel costs, vehicle maintenance, payment processing fees, and any penalties or fines. The carrier assumes full responsibility for these expenses.

Completion of Haul Deliveries: The carrier is obligated to complete all haul deliveries initiated prior to the issuance of a termination notice.

Liability for Transportation Risks: The carrier is liable for any loss, damage, or liability incurred during the transportation of goods and must ensure adequate coverage and response strategies are in place.

Licenses, Permits, and Insurance: The carrier must maintain all necessary licenses, permits, and insurance required to operate legally and safely within the applicable jurisdictions.

Authorization to Sign Documents: The carrier authorizes the dispatcher to sign documents on their behalf as necessary to facilitate the dispatching process, subject to the limits and conditions set forth in this agreement.

Consequences of Non-Payment: Failure to timely pay for dispatcher services may lead to immediate termination of this agreement, unless an alternative arrangement is agreed upon by the dispatcher.

Termination of Agreement: This agreement is designed to be perpetual; however, either party may terminate the agreement at any time, provided there are no pending haul transactions. Termination requires a seven-day written notice to the other party.

CTRL Route operates solely as a freight dispatching service and does not engage in direct transportation operations. Each carrier utilizing the CTRL Route platform must ensure compliance with all pertinent equipment and certification requirements essential for conducting freight transportation. Carriers are obligated to adhere to all applicable trucking laws and regulations, including those enforced by the Federal Motor Carrier Safety Administration (FMCSA), and to maintain valid licenses and permits necessary for their operations. CTRL Route disclaims any liability for the carriers’ adherence to these legal obligations. Non-compliance with these mandates may result in penalties, legal repercussions, or the discontinuation of services provided by CTRL Route.

Bonus (Supplemental) Pay Policy

We are dedicated to ensuring our drivers receive fair compensation, including supplemental pay for specific situations. While we can't guarantee every shipping company offers this pay, we will do our best to secure the following for our drivers:

Detention Pay: Compensation for extended wait times at pickup or delivery locations.
Layover Pay: Payment for overnight stays or delays exceeding a specified duration.
Mileage Bonuses: Additional pay for exceeding mileage thresholds.
Performance Bonuses: Incentives for meeting or exceeding performance targets.

Claim Process

Document the Incident: Collect and provide appropriate documentation, such as timestamped logs, photos, and communication records.
Submit the Claim: The dispatcher will submit claims within a specified period (e.g., within 7 days of the incident).
Verification and Approval: Claims will be reviewed and approved within a specified period (e.g., within 14 days).
Receive Payment: Approved claims will be paid promptly.

By standing by our drivers and fighting for their fair compensation, we ensure they receive what they are entitled to for their hard work and dedication. Bonus payment will be discussed and elaborated on based on the job and shipper to ensure clarity and mutual understanding.

Payment Responsibilities

The Carrier is obligated to pay all fees associated with payment processing. CTRL Route will not bear these costs.

Example:

• Initial Transaction Amount: $100
• Dispatcher Fee: 8% of $100, which equals $8. The amount remaining after this dispatcher fee is $100 - $8 = $92.
• Processing Fee: 2% of the remaining $92, which equals $1.84. The final amount disbursed to the Carrier after this processing fee is $92 - $1.84 = $90.16.

This section represents the formal ratification of all terms and conditions contained within the Dispatcher Service Agreement by both the Carrier and the Dispatcher, CTRL Route LLC. The signatures below constitute a legally enforceable agreement, binding each party to fulfill their respective duties and adhere to the stipulations as outlined in the document.

Both parties hereby confirm their understanding, acceptance, and commitment to comply with every obligation and condition described herein. This agreement shall be effective upon the dates of signature and shall remain in force until modified or terminated according to the provisions specified within the agreement.

CTRL Route LLC is committed to protecting your privacy. In providing our dispatch services, we will collect, secure, and store necessary personal and business information, such as names, addresses, contact details, driver's license and vehicle information, insurance documents, and more.

This information is strictly for service-related purposes, including load assignments, billing, and compliance with legal standards. Access is limited to authorized personnel, and your data will not be shared without your consent, except as legally required.
