TOUCHDOWN EATS MERCHANT AGREEMENT
This Agreement is entered into by and between TouchDown Eats (“Company”) and the undersigned restaurant or food business (“Merchant”).
1. Purpose
TouchDown Eats is a delivery and marketing platform that helps local restaurants grow sales through online ordering, pickup, and delivery. Merchant agrees to allow TouchDown Eats to feature, promote, and facilitate delivery of select menu items under one or more of the TouchDown Eats hospitality brand concepts.
2. Services
TouchDown Eats will:
Provide a tablet or device for order management (DoorDash, Uber Eats, and TouchDownEats.com).
Handle menu setup, marketing, photography, and branding.
Promote select menu items via DoorDash, Uber Eats, TouchDownEats.com, bars, breweries, and apartment events.
Rebrand or rename certain menu items subtly for marketing purposes.
Choose and promote one category of the merchant’s menu at a time to drive exposure and sales.
Merchant will:
Prepare all orders promptly using standard food safety practices.
Notify TouchDown Eats of any menu, pricing, or operational changes.
3. Revenue & Payment
Merchant keeps 75% of total sales from TouchDown Eats platform orders (or 90% if Merchant already operates a storefront).
TouchDown Eats retains a 10–25% commission depending on setup.
Payments are made every Thursday-Friday between 1 p.m. and 4 p.m. for completed orders.

4. Term & Termination
Agreement is month-to-month and automatically renews unless canceled in writing by either party.
Either party may cancel with 7 days’ notice.
If no orders are received for 14 consecutive days, the tablet must be returned to TouchDown Eats within 3 business days.
TouchDown Eats may suspend service for policy or quality violations.
5. Liability
Each party is responsible for its own operations and compliance with laws. TouchDown Eats acts only as a marketing and ordering intermediary.
6. Ownership
Menus, item names, and creative materials created by TouchDown Eats remain property of TouchDown Eats. Merchant retains ownership of its original recipes and food methods.
7. Acceptance
By signing below, both parties agree to the terms of this Agreement and acknowledge that services may begin upon delivery or activation of the TouchDown Eats tablet.
