  • Element Skin Therapy – Membership Agreement
    1. Parties
    This Membership Agreement (“Agreement”) is entered into between Element Skin Therapy, located at 411 24th St W, Ste 113, Billings, MT 59102 (“Company”), and the undersigned member (“Member”).


    2. Membership Term & Billing
    Recurring Membership

    Member agrees to pay recurring membership dues in the amount of $105.00, billed automatically every four (4) weeks, beginning on the enrollment date.

    Membership dues will continue to be billed every four (4) weeks unless and until the membership is properly canceled in accordance with this Agreement. Member expressly authorizes Element Skin Therapy and its authorized billing provider (Vagaro) to automatically charge the payment method on file for all membership dues, fees, and applicable charges.

    Pricing Changes
    Element Skin Therapy reserves the right to modify membership pricing upon reasonable advance notice. Any changes to membership dues will apply prospectively only and will be communicated prior to the affected billing cycle. Continued participation in the membership after such notice constitutes acceptance of the updated pricing.

    Initial Term
    From the enrollment date, Member enters into an initial six (6) installment commitment (“Initial Term”). During the Initial Term, this Agreement may not be terminated by Member without payment of a $100 early termination fee, except as expressly permitted herein.

    Month-to-Month Renewal
    Upon completion of the Initial Term, this Agreement shall automatically convert to a month-to-month membership(“Month-to-Month”), billed every four (4) weeks. Month-to-Month memberships may be terminated by Member at any time upon written notice provided no fewer than seven (7) days prior to the next scheduled billing date.


    3. Authorization for Automatic Payments
    By executing this Agreement, Member expressly authorizes Element Skin Therapy and its authorized billing provider (Vagaro) to initiate recurring charges to the payment method on file for all dues, fees, and charges owed under this Agreement, including but not limited to membership dues, late fees, no-show charges, and early termination fees.

    This authorization shall remain in effect until the Agreement is properly terminated and all outstanding balances are satisfied.


    4. Late Payments
    Membership dues are due on the scheduled billing date. Accounts remaining unpaid more than ten (10) days past the due date may, at Company’s discretion, result in membership cancellation and the assessment of any applicable early termination fees.

    Company acknowledges that unforeseen financial circumstances may arise. Members are encouraged to contact Company promptly to discuss billing date adjustments or temporary membership pauses where applicable.


    5. Cancellation & Early Termination
    Permitted Cancellation Without Fee
    Member may terminate this Agreement without early termination fee upon proof of:

    Permanent disability preventing use of services;
    Relocation more than thirty (30) miles from Company’s location;
    Permanent closure or relocation of Company more than thirty (30) miles.


    Other Terminations
    Termination during the Initial Term for reasons outside those listed above shall require payment of the $100 early termination fee. Month-to-Month memberships may be terminated without penalty upon proper notice (7 days in advance of billing cycle). 

    Membership shall remain active through the conclusion of the then-current billing cycle following receipt of written notice.

    Refunds
    All membership dues are non-refundable, except as expressly stated herein.


    6. Membership Credits & Usage
    Carryover of Credits
    Membership service credits are intended to support consistent use, however they may carry over to a subsequent billing cycle if unused.

    If more than two (2) unused service credits accumulate, Company reserves the right to temporarily pause the membership until such credits are redeemed.

    The existence of unused or carried-over service credits does not alter, delay, or suspend the scheduled recurring billing date. Membership dues shall continue to be charged every four (4) weeks in accordance with this Agreement, regardless of any unused credits on the Member’s account.

    Membership pauses are not automatically triggered by the presence of unused or rolled-over credits. Pauses are reserved for qualifying life circumstances as described below, or may be initiated at Company’s discretion in the event that unused credits accumulate beyond permitted limits.

    Effect of Credit-Based Pauses
    Any pause imposed due to accumulated unused credits shall not count toward completion of the Initial Term, and such pause period shall be added to the end of the Initial Term upon resumption.

    Credits After Cancellation
    Upon termination of membership, any unused service credits must be redeemed within thirty (30) days of notice of termination, after which such credits shall expire and be forfeited without refund or transfer.


    7. Membership Pause Policy
    Member may request a temporary pause of membership up to one time per year for qualifying circumstances, including medical needs, extended travel, family or caregiving obligations, and work-related demands. Approved pauses may extend up to three (3) consecutive cycles. Company reserves the right to deny pause requests in which the obligation of this agreement still applies. 

    Pause periods do not apply toward fulfillment of the Initial Term and shall be added to the end thereof if applicable.


    8. Operations & Services
    Company reserves the right to modify hours of operation, temporarily close for maintenance, or alter services offered. No refunds or fee reductions shall be issued due to such modifications.


    9. Right to Terminate
    Company reserves the right to terminate this Agreement for any reason not prohibited by law. In such event, any unused prepaid dues shall be refunded where required by law.


    10. Acknowledgment
    By signing below, Member acknowledges and agrees that this Agreement constitutes a binding contract, that Member has had the opportunity to review and ask questions regarding its terms, and that Member consents to recurring billing and automatic renewal as described herein.
