  • WEB DESIGN SUBSCRIPTION AGREEMENT

    This Web Design Subscription Agreement (the “Agreement”) is made and entered into on the date of signing by and between the Client (the “Client”) and FINESSE Ltd. (the “Company”).


    RECITALS
    WHEREAS, the Client desires to engage the services of FINESSE Ltd. to provide website and logo design services as further described below; and

    WHEREAS, FINESSE Ltd. is willing to provide such services to the Client on the terms and conditions set forth herein.

    NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:


    1. DESCRIPTION OF SERVICES
    FINESSE Ltd. will provide website and logo design services to the Client as described in the selected subscription plan. The services may include website design and development, hosting, maintenance, updates, and related creative and technical work.


    2. SUBSCRIPTION PLAN & FEES
    The standard Website Design Plan is a one-time build fee of $800 plus a monthly subscription fee of $200. Clients who process their payments through FINESSE (Clover, Square, or another FINESSE-supported processor) receive 50% off the build fee, reducing it to $400, plus a reduced monthly subscription fee of $150 for the duration of the subscription. The rate that applies is the plan selected by the Client on this form.

    All payments are non-refundable and non-cancellable once the design process has commenced.


    3. TERM
    This Agreement shall commence on the date of signing and shall continue on a month-to-month basis unless terminated in accordance with Section 5 below.


    4. PAYMENT TERMS
    The Client shall pay the applicable one-time build fee prior to project kickoff and the applicable monthly subscription fee in advance each month, at the rate for the plan selected on this form.

    The Client agrees that their card or bank account on file may be securely stored and charged automatically for recurring monthly payments.

    All fees are non-refundable and non-transferable.


    5. TERMINATION
    Either party may terminate this Agreement with 30 days’ written notice. Termination does not relieve the Client of any outstanding payment obligations incurred prior to the effective termination date.


    6. OWNERSHIP & INTELLECTUAL PROPERTY
    Until all payments due under this Agreement are received in full, all materials, designs, and intellectual property created by FINESSE Ltd. shall remain the property of the Company.
    Upon full payment, the Client shall receive usage rights for the completed website and logo deliverables.

    FINESSE Ltd. retains the right to display completed work for promotional and portfolio purposes.


    7. CONFIDENTIALITY
    The Client acknowledges that they may receive confidential or proprietary information belonging to FINESSE Ltd. and agrees not to disclose such information to any third party without prior written consent.


    8. DISCLAIMER OF WARRANTIES
    FINESSE Ltd. makes no warranties, express or implied, regarding the performance or functionality of the website beyond the scope of this Agreement.


    9. LIMITATION OF LIABILITY
    In no event shall FINESSE Ltd. be liable for any indirect, incidental, or consequential damages arising from or related to this Agreement.


    10. GOVERNING LAW
    This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.


    11. ENTIRE AGREEMENT
    This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, related to the subject matter herein.
