I also hereby release from liability BAIRO and its representatives for seeking, gathering, and using such information to make decisions concerning my status as an independent contractor for BAIRO and all other persons or organizations for providing such information.

THIS IS NOT AN APPLICATION FOR EMPLOYMENT.

I understand and agree that if this application is accepted, my status will be that of an independent contractor and as such, I will be solely responsible for all tax liabilities pertaining to monies received in the course of services I perform.

If I am retained by BAIRO as an independent contractor, I understand:
- I will not be entitled to workers compensation benefits,
- Not be entitled to unemployment insurance benefits unless unemployment coverage is provided by me or some other entity,
- Be obligated to pay federal and state income tax on any moneys paid pursuant to the contract,
- Be required to provide professional and liability insurance.
I represent and warrant that I have read and fully understand the foregoing, and that I seek to become an Independent Contractor under these conditions.

BAIRO REAL ESTATE NONDISCLOSURE AGREEMENT

This Nondisclosure Agreement (the "Agreement") is entered into by and between the Bairo Real Estate (BAIRO) and all of its affiliates and the Independent Contractor ("Receiving Party") for the purpose of preventing the unauthorized disclosure of Confidential and Proprietary Information. The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information ("Confidential Information") related to the Bairo Real Estate and any of its affiliates.

Independent Contractor will perform services for Bairo Real Estate (BAIRO), which may require Bairo Real Estate (BAIRO) to disclose confidential and proprietary information ("Confidential Information") to Independent Contractor. (Confidential Information is any information of any kind, nature, or description concerning any matters affecting or relating to Independent Contractor's services for Bairo Real Estate (BAIRO), the business or operations of Bairo Real Estate (BAIRO), and/or the products, intellectual property, plans, processes, or other data of Bairo Real Estate (BAIRO Accordingly, to protect Bairo Real Estate (BAIRO) Confidential Information that will be disclosed to Independent Contractor, the Independent Contractor agrees as follows:

A. Independent Contractor will hold the Confidential Information received from Bairo Real Estate (BAIRO) in strict confidence and shall exercise a reasonable degree of care to prevent disclosure to others

B.Independent Contractor shall carefully restrict access to Confidential Information to other employees, vendors, contractors, volunteers, family members, and third parties as is reasonable required and shall require those persons to sign nondisclosure restrictions at least as protective as those in the Agreement unless first authorized to do SO in writing by Bairo Real Estate's (BAIRO) Chief Executive Officer, Chief Financial Officer and/or Broker

C. Independent Contractor will not reproduce Confidential Information nor use this information for any purpose other than the performance of his/her duties for Bairo Real Estate (BAIRO)

D. Independent Contractor will, upon the request or upon the termination of his/her relationship with Bairo Real Estate (BAIRO), deliver to Bairo Real Estate (BAIRO) any property, notes, documents, equipment, and materials received from Bairo Real Estate (BAIRO) or originating from its activities for Bairo Real Estate (BAIRO)

E.Bairo Real Estate (BAIRO) reserved the right to take disciplinary action, up to and including termination for violations of this agreement.

Independent Contractor represents and warrants that it is not under any preexisting obligations inconsistent with the provisions of this Agreement. Signing below signifies that the Independent Contractor agrees to the terms and conditions of the agreement stated above.
