Reseller Program Enrollment Form

What you get
- Non-exclusive access to resell Engrain's software and products (collectively called "Engrain Services") to your customers ("End Users")
- A discount off Engrain’s standard rates based on the volume of business you sell
- Marketing materials and support from Engrain
- The right to use Engrain's trademarks and logos in certain ways
- What you agree to do
- Market and promote the services
- Pay Engrain fees for the services you sell to your customer
- Keep Engrain's confidential information confidential
- Use the services only as permitted, and not for any illegal or harmful purposes
- Not attempt to copy or reverse engineer the services
- Pay Engrain monthly for resold services
- Collect and remit sales tax on products and services sold to the end consumer
What happens if something goes wrong
- Either party can terminate the agreement for cause, such as if the other party breaches the agreement
- Upon termination:
- You must return or destroy any confidential information you received from Engrain
- You will coordinate with Engrain to support End User transition to license products directly from Engrain or to facilitate license cancellation
- You will be responsible for any unpaid fees for delivered products through license termination
Key terms
- Confidential Information: any information that is not publicly known and that is marked as confidential
- End User: a customer of yours who uses the Engrain Services
- Engrain Services: means, collectively, the products, services and technology offered by Engrain
- Integration: the process of making the Engrain Services available on your website or platform
- Property: a piece of real estate for which the owner or manager has purchased Engrain Services
- Reseller Platform: your website or platform where you offer the Engrain Services
- Unit Map: a scalable vector graphic description of one or more units produced by Engrain that Engrain may syndicate for distribution

* This Enrollment Form includes by reference the Non-Exclusive Reseller Agreement Terms and establishes the terms and conditions applicable to the relationship between Engrain and Reseller created hereunder. - Use the services only as permitted, and not for any illegal or harmful purposes
- Not attempt to copy or reverse engineer the services

- Either party can terminate the agreement for cause, such as if the other party breaches the agreement or with 30 days written notice
