**Affiliate Agreement for SBT Energy Therapy® Mobile App Promotion**
This Affiliate Agreement ("Agreement") is made between Energy Therapy LLC ("Company") and the individual or entity agreeing to these terms ("Affiliate"). By participating in the Energy Therapy LLC Affiliate Program ("Program"), the Affiliate agrees to the terms and conditions outlined below.
1. **Enrollment in the Program**
Ughh To enroll in the Program, the Affiliate must complete and submit the online application form. The Company reserves the right to accept or reject any application at its sole discretion.
2. **Affiliate Responsibilities**
The Affiliate agrees to promote the SBT Energy Therapy® mobile app ("App") using their unique affiliate code ("Code"). The Affiliate is responsible for ensuring that their promotional activities comply with all applicable laws and regulations.
3. **Commission Structure**
The Affiliate will earn a commission for each new subscriber who uses the Affiliate's Code and pays for their first full month of subscription to the App ("Commission"). The specific Commission rate will be determined by the Company and may be subject to change at any time.
4. **Payment of Commissions**
Commissions will be paid within 90 days of the new subscriber's payment for their first full month of subscription. Payments will be issued to the Affiliate by Energy Therapy LLC. The Affiliate is responsible for providing accurate payment information to the Company.
5. **Taxes**
The Affiliate acknowledges and agrees that they are responsible for their own tax obligations. As an independent contractor, the Affiliate is solely responsible for any and all taxes, including but not limited to income, social security, and self-employment taxes, arising from the Commissions paid under this Agreement.
6. **Changes to the Agreement**
The Company reserves the right to modify or terminate this Agreement, or any part of it, at any time. Continued participation in the Program after any such changes shall constitute the Affiliate's consent to such changes.
7. **Termination**
Either party may terminate this Agreement at any time, with or without cause.
8. **Limitation of Liability**
The Company shall not be liable for any indirect, incidental, special, or consequential damages arising in connection with this Agreement or the Program, even if the Company has been advised of the possibility of such damages. The Company's total liability arising from this Agreement shall not exceed the total Commissions paid or payable to the Affiliate under this Agreement.
9. **Governing Law**
This Agreement shall be governed by and construed in accordance with the laws of the state in which Energy Therapy LLC is headquartered, without regard to its conflict of law principles.
10. **Independent Contractor Relationship**
The relationship between the Company and the Affiliate is that of independent contractors. Nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
11. **Entire Agreement**
This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
By participating in the Program, the Affiliate acknowledges that they have read, understood, and agree to be bound by this Agreement.
