Terms and Conditions for Clear Consulting LLC

1. Introduction

Welcome to Clear Consulting LLC, these terms and conditions outline the rules and regulations for the use of our services. By engaging our consulting services, you accept these terms and conditions in full.

2. Services Provided

Clear Consulting LLC offers consulting services in the field of business strategy, consulting, etc. The scope of services will be detailed in a separate agreement or statement of work (SOW) for each project.

3. Client Responsibilities

Clients are expected to provide accurate information and full cooperation to facilitate the provision of services. This includes timely access to necessary data, personnel, and facilities.

4. Fees and Payment

4.1. Fees: The fees for our services will be outlined in the SOW or agreement. Fees are based on an hourly rate, project rate, or retainer as specified.

4.2. Payment Terms: Invoices are payable within 5 days of receipt. Late payments may incur interest at a rate of 10 % per month.

4.3. Expenses: Clients agree to reimburse Clear Consulting LLC for reasonable out-of-pocket expenses incurred during the project, such as travel and accommodation, unless otherwise agreed.

5. Confidentiality

Both parties agree to keep all confidential information disclosed during the course of the project strictly confidential. This obligation will survive the termination of the agreement.

6. Intellectual Property

6.1. Ownership: Any intellectual property created during the project will be owned by Clear Consulting LLC unless otherwise agreed in writing.

6.2. License: Clear Consulting LLC grants the client a non-exclusive, non-transferable license to use the deliverables for the client's internal purposes.

7. Limitation of Liability

Clear Consulting LLC will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. Our total liability will not exceed the fees paid by the client for the specific project.

8. Termination

Either party may terminate the agreement by giving 15 days' written notice. In the event of termination, the client will pay for all services rendered and expenses incurred up to the termination date.

9. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the State of Illinois. Any disputes will be subject to the exclusive jurisdiction of the courts of Illinois.

10. Amendments

Clear Consulting LLC reserves the right to modify these terms and conditions at any time. Any changes will be communicated to clients and will apply to future engagements.

11. Entire Agreement

These terms and conditions, together with any SOW or agreement, constitute the entire agreement between Clear Consulting LLC and the client, superseding any prior agreements or understandings.
