Avvisat Bud - Resurs Bank Holding AB (publ) - Minoritetsägare som representerar >10%
On 17 June 2024, CVC and Waldakt, through Ronneby UK Limited, submitted a public takeover offer to the shareholders of Resurs Holding AB (publ) to transfer all shares in Resurs to the Offeror for a cash consideration of SEK 23.50 per share. The initial offer was SEK 22 per share. The offer values all shares in Resurs at approximately SEK 4.7 billion. Waldakt, which is the largest owner in Resurs with almost 29 percent of the shares and votes, as well as Catea Kapital with 2 percent and Erik Selin, who sits on approximately 3.33 percent, have expressed their support for the offer.
Mot bakgrund av extraordinära åtgärder gällande kreditförlusthanteringen under 2023, utebliven utdelning som påverkat aktiekursen under 2024, samt bolagets positiva framtida potential (som CVC och Waldakt har identifierat), kan det anses att bolagets värdering i detta bud är icke-representativt för de underliggande tillgångarna. Erbjudandet är villkorat av att det får en acceptans på över 90 procent av aktierna i Resurs Holding AB (publ). Det finns 200.000.000 aktier i Resurs Holding AB (publ), vilket innebär att om det anmälda aktieinnehavet av aktieägare som registrerar sig här, och även tackar nej till erbjudandet, övergår 20.000.000 aktier, kommer budet ej att gå igenom. P g a take-over reglerna och att CVC och Waldakt har uppgett att budet ej kommer att höjas, så kommer inget förhöjt bud ges av dessa parter tillsammans. Den initiala acceptfristen för erbjudandet startade den 2 augusti 2024, och den förlängda acceptfristen pågår nu fram till 4 oktober 2024.
