Trial License Grant

Auction Techs hereby grants to Auctioneer a non-exclusive, non-transferable license to use Auction Techs' software ("Software") for conducting webcast and timed auctions at the discretion of the Auctioneer.

Use of Software

Auctioneer agrees to use the Software in accordance with any accompanying documentation provided by Auction Techs. Auctioneer shall not distribute, sublicense, or otherwise make the Software available to any third party.

Confidentiality

Auctioneer agrees to maintain the confidentiality of all proprietary and confidential information disclosed by Auction Techs during the Trial Period. This includes, but is not limited to, the Software, documentation, and any other materials provided by Auction Techs ("Confidential Information"). Auctioneer agrees not to disclose, reproduce, distribute, or use Confidential Information except as necessary to evaluate the Software.
