This Tester Agreement (the "Agreement") is entered into between Nandy Consulting, a ("Company"), and the undersigned individual ("Alpha Tester"). This Agreement outlines the terms and conditions under which Alpha Tester will access and use the test version of Notetify ("Platform") in test environment.
1. Alpha Testing Period:
The alpha testing period will commence on August 1, 2024 and continue until December 31, 2024, unless extended by mutual agreement between the parties. During this period, Alpha Tester agrees to use the Platform and provide feedback as outlined in this Agreement.
2. Purpose:
The purpose of this alpha testing is to evaluate and provide feedback on the Platform's functionality, user experience, and performance in a test environment.
3. License Grant:
Company hereby grants Alpha Tester a non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purpose of alpha testing during the alpha testing period.
4. Feedback and Reporting:
Alpha Tester agrees to provide timely and detailed feedback to the Company regarding any issues, bugs, suggestions, or improvements discovered while using the Platform. Alpha Tester may be asked to complete surveys, participate in user feedback sessions, and provide written reports as requested by the Company.
5. Confidentiality:
Alpha Tester acknowledges that all information and materials related to the Platform, including but not limited to software, documentation, processes, and communications, are confidential and proprietary to the Company. Alpha Tester agrees to maintain the confidentiality of such information and materials and shall not disclose or use them for any purpose other than the alpha testing.
6. No Warranty:
Alpha Tester understands and acknowledges that the Platform is in the testing stage and may contain errors, defects, and other issues. The Platform is provided "as is" without any warranties, express or implied. Company disclaims all warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.
7. Ownership:
Alpha Tester acknowledges and agrees that Company retains all right, title, and interest in and to the Platform, including any modifications, enhancements, or improvements made based on Alpha Tester's feedback.
8. Termination:
Either party may terminate this Agreement at any time for any reason. Upon termination, Alpha Tester's access to the Platform will be revoked, and Alpha Tester agrees to return or destroy any confidential information provided by the Company.
9. Indemnification:
Alpha Tester agrees to indemnify, defend, and hold harmless Company and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses arising out of or in connection with Alpha Tester's use of the Platform.
10. Compensation:
In appreciation of the time and effort contributed by Alpha testers in providing feedback and participating in surveys, we will provide a $50 Amazon gift card to each organization involved in the Alpha testing phase.
11. Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with the laws of North Carolina. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in North Carolina.
