UNIVERSAL MEDIA X – CONTENT SUBMISSION TERMS AND CONDITIONS
These Terms and Conditions (“Terms”) govern your submission of content, including but not limited to music, films, concerts, documentaries, videos, and other audiovisual works (“Content”) to Universal Media X (“UMX,” “we,” “our,” or “us”), a multimedia over-the-top (OTT) streaming platform available on web, mobile, and connected TV devices.
By submitting Content to UMX, you agree to be legally bound by these Terms. If you do not agree to these Terms, do not submit any Content to UMX.
1. Eligibility
To submit Content to UMX:
You must be at least 18 years old (or the legal age of majority in your jurisdiction).
You must be the legal owner of the Content or have full rights, permissions, and licenses necessary to submit it.
Your submission must not infringe any third-party rights, including copyright, trademark, publicity, or privacy rights.
2. Content Ownership
You retain full ownership of your submitted Content. UMX does not claim ownership over your intellectual property.
However, by submitting Content, you grant UMX a non-exclusive, worldwide, royalty-free, sublicensable license to:
Host, stream, distribute, display, promote, and monetize the Content on all UMX platforms and partner platforms;
Use your name, image, likeness, logos, and related promotional materials to market the Content;
Modify or create promotional edits (trailers, previews, thumbnails) of your Content for marketing and platform optimization purposes.
This license continues until you remove the Content from UMX by written request, with a 30-day notice period to allow for removal from all systems.
3. Monetization and Revenue Sharing
UMX may monetize your Content via ads, pay-per-view, subscriptions, or sponsorships.
If applicable, you will receive royalty payments based on UMX’s current payout schedule for each type of content (e.g., streaming rate per view or per minute watched).
Payment terms, payout thresholds, and tax form submissions will be outlined in your artist dashboard or content agreement.
UMX reserves the right to adjust monetization models with 30 days' prior notice.
4. Content Guidelines and Restrictions
You agree not to submit Content that:
Contains hate speech, explicit violence, illegal activities, or pornographic material;
Violates copyrights, trademarks, or intellectual property rights of others;
Contains defamatory, false, or misleading statements;
Is encoded with viruses, malware, or other harmful software.
UMX reserves the right to reject, suspend, or permanently remove any Content at its sole discretion for violating these guidelines or for any reason deemed necessary to protect its brand or community.
5. Representations and Warranties
By submitting Content, you represent and warrant that:
You have full legal rights and authority to submit the Content;
The Content is original or properly licensed;
No third-party permissions, licenses, or payments are required beyond what you’ve already secured;
You will defend and indemnify UMX against any claims, liabilities, or losses arising from your breach of these warranties.
6. Content Removal and Termination
You may request removal of your Content at any time via written notice. UMX may remove Content at its discretion without prior notice for violations of these Terms or in compliance with law.
Termination of this agreement does not affect the rights and obligations accrued prior to termination.
7. Limitation of Liability
UMX shall not be liable for:
Any loss of profits, data, or goodwill;
Any indirect, incidental, or consequential damages arising from the submission, streaming, or distribution of your Content;
Any claims relating to unauthorized access to or use of your Content by third parties.
8. Changes to These Terms
UMX reserves the right to update or modify these Terms at any time. Changes will be posted on the UMX website with an updated “Effective Date.” Continued submission or hosting of Content after such changes constitutes your acceptance of the revised Terms.
9. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Westchester County, NY for any disputes arising under these Terms.
