Speaker Release Form for "Exploring Tantra" Virtual Summit

The Tantric Arts Collective (TAC) desires to electronically record speaker's presentation/interview video recording. Guest/Speaker understands that for educational and commercial applications, TAC will make Speaker's presentation/interview video recording available for attendees of this virtual event.

1. Compensation and Participation Guest/Speaker's participation will be provided at no charge, and Guest/Speaker will not request compensation from TAC.

2. Rights and Usage Guest/Speaker hereby grants to TAC the rights to use their name, voice, appearance, likeness, image, words, participation and title or professional designation, in whole or in part in these recordings and/or compilations and in any correspondence, publicity, advertising, promotional, or other derivative materials based on them. TAC has no obligation to make use of the rights granted herein.

3. Recording Rights and Ownership Guest/Speaker hereby grants TAC the unconditional and irrevocable right to reproduce the recording in any format, and to distribute, sell, prepare derivative works, advertise, and publicize the recordings. TAC may repurpose, resell, and use the recording indefinitely without compensation to Guest/Speaker (except affiliate commission detailed in #6 below). TAC may edit the recording at their discretion. TAC shall own the worldwide rights, title and interest including copyright in, and to, the Guest/Speaker's recording and transcripts. The material Guest/Speaker presents remains Guest/Speaker's intellectual property.

4. Access to Recording Guest/Speaker, upon written request to TAC, shall be provided with a copy of his or her recording in electronic format.

5. Presentation Guidelines Guest/Speaker may offer a free gift to their audience during their session to help build their email list, but no products can be sold directly during the presentation. Any sales made after the event will be Guest/Speaker's responsibility.

6. Affiliate Commission Guest/Speaker will receive 30% affiliate commission on any recordings successfully purchased through their unique affiliate link. Commissions will be paid after 30 days from the date of purchase.

7. Marketing Commitment Guest/Speaker agrees to:

Send at least one solo email to their email list (minimum 3,000 subscribers) prior to the event, ideally 10-14 days before the summit. A second email is recommended just before or during the promotional period.
Promote the summit on their social media channels in accordance with their marketing schedule.
TAC will provide Guest/Speaker with two email templates to help promote the summit to their audience, which can be adjusted as needed.
If Guest/Speaker is unable to meet the marketing commitment, they agree to reach out to TAC to make alternative arrangements.
8. Representations and Warranties Guest/Speaker represents that he or she has the full right, power and authority to grant this release and to perform all of the provisions thereof. Guest/Speaker represents that in the event of a breach or alleged breach with respect to the terms and provisions hereof, TAC shall be entitled to such injunctive or equitable relief as TAC may deem appropriate, in addition to such other rights or remedies TAC may have at law.

9. Indemnification Guest/Speaker agrees to indemnify and hold harmless TAC from and against all claims, losses, expenses, and liabilities of every kind including reasonable attorney's fees arising out of the inaccuracy or breach of any provision of this Agreement. Guest/Speaker expressly releases TAC from any and all claims arising out of the use of the material.

10. Governing Law This release shall be governed in accordance with the state of California law, constitutes the entire agreement of the parties, and may be amended only in writing.
