    Foundy is a platform that provides business owners with the tools, templates, knowledge, and expert advisors to prepare their companies' exit in the 1 to 36-month period leading up to their exit via acquisition. We prefer working with businesses earlier on in their journey to optimise their growth towards a successful exit process, during which we leverage consultants, brokers, advisors, and specialist tools along the way.

  • We hope this agreement is mutually agreeable and we can start working together soon. Given the nature of our streamlined product and service, we hope that you can start generating lucrative referral commissions and access to new clients relatively swiftly. Plus, given the relatively unique product and service Foundy offers, it is likely that we provide a complementary offering to your network or business.

  • This document lays out the terms for an agreement between Foundy and a Referral Partner. We share a commercial goal of increasing the quantity and value of transactions and help one another's network. 

    For this agreement, Foundy or Party A will be known as "Foundy". The affiliate partner will be known as the "Partner Programme".

    There are two main ways for referrals to take place.

    1. Foundy leverages its large network and user base to refer the deal flow of new clients to the Advisor Partner so that they can provide their product or service and in turn generate revenue. -This may be appropriate when a Foundy user or visitor seeks specialist support in a particular area. For example, Foundy will promote a SaaS or ecommerce broker advisor partner to SaaS or ecommerce business owners seeking those advisory services. Another example would be that Foundy promotes a legal advisor partner's services to buyers or sellers who need specialist legal services.

    2. Advisor Partners can refer their contracted and non-contracted sell and buy-side clients, users and network to Foundy. Foundy can then provide its products or services to the referred business or user. In turn, Advisor Partners can receive a referral fee based on the revenue generated by Foundy from the referred user.

    Participation in the Foundy Advisor Partner Program is subject to the following terms and conditions. Please ask any questions you may have if you require further clarification on any area.

    How can the Advisor Partner and Foundy generate revenue from this partnership?

    As highlighted above, there are two main ways for the Advisor Partner and Foundy to benefit commercially from this partnership. The first is that Foundy makes referrals to the Advisor Partner so that they can provide their products or services to the referred client. The second is that the advisor partner makes referrals to Foundy.

  • 1. Foundy is entitled to 20% of any revenue generated by the Advisor Partner's business or any subsidiary, affiliated or partner companies from a referral made by Foundy. This includes but is not limited to upfront or retainer fees, subscriptions, consultancy fees and success fees. Foundy's referral commission is chargeable on total revenue generated by the advisor from the referred business or individual, exclusive of VAT. The advisor partner may list some of their sell-side client on Foundy's marketplace or use a buyer outreach campaign to help the advisor partner find acquirers for their seller. If the seller is acquired by a Foundy buyer then Foundy receives 20% of the total success fee generated by the sell-side advisor with a minimum of 1% of the total deal value. 'Foundy buyer' refers to registered buyer user or a company/ individual on a list contacted

    2. The Advisor Partner is entitled to between 20 to 50% of any revenue generated by Foundy or any of its subsidiary, affiliated or partner companies from a referral made by the Advisor Partner. This includes retainer fees, subscriptions, consultancy fees or success fees.

    Foundy offers several key products and services, which are listed below. Foundy is willing to pay the advisor partner referral fees for introducing buyers or sellers to Foundy that go on to pay Foundy a fee.

    The fee payable is a percentage of Foundy's revenue generated from a buyer or seller referred to Foundy by the Advisor Partner. It will be payable as agreed between the parties at the end of the month that the revenue was generated.

    2a.) 20% of Foundy's revenue, exclusive of VAT, will be paid to the advisor partner fora referral if they provide a direct introduction to a company representative. This can be via your personalised affiliate link or via email introduction. The preference is for the affiliate link ideally as it is automated.

    2b.) A higher success fee e.g. 20 to 50% may be mutually agreeable between both parties on a case-by-case basis if the advisor partner fully takes over the management of a particular seller and provides advisory services to them This is subject to discussion between Foundy and the advisor partner and should be formalised in writing via email for each given deal. It will depend on the mutually agreed level of involvement the advisor partner will have with the seller.

    What can advisor partners receive referral?

    Foundy offers a range of products and services. For simplicity and transparency, the advisor partners can receive referral commissions from all products or services that Foundy generates revenue. These products include but are not limited to:

  • Fundraising platform - https://foundy.com/fundraising

    Foundy has a highly advanced fundraising tool that has the lending criteria of over 800 lenders and equity investors embedded into the portal. Funding products include debt finance for acquisitions, growth or working capital, commercial mortgages and other loans. Following one application, users can access and compare lending options. Foundy generates a small fraction of the lender's total interest rate on issued loans. On a £1m loan, this may be approximately 2%, depending on the lender. The advisor partner is entitled to 20% of Foundy's revenue. Therefore, in this example, the advisor partner will receive £4000 in referral commission.

    Foundy's end-to-end buy or sell side portal is a centralised platform that contains all of the stages of the M&A process inside one project management tool. This includes onboarding, due diligence, negotiation, legals and escrow. Portal subscriptions are typically 6 months long and priced at £3k for 6 months. This may be increased over time, so please always refer to the latest pricing updates on Foundy's website. The latest pricing at the time of purchase will be what the referral commission will be applied against. 20% of a £3k portal package = £400 in referral revenue for the advisor partner, You can track the purchases from your cello portal or updates will be communicated to you.

    Foundy adds approximately 10 to 20 new seller listings to the marketplace monthly to generate buyer interest. Foundy may also do an outreach campaign to drive buyer traffic to particular seller listings. Advisors are able to use this service at a discount if they wish to. Acquisition deals typically take between 1 to 6 months, with an average time of 4 months. Foundy will pay the advisor partner 20% of Foundy's success fee upon a completed transaction.

    Foundy provides sell and buy-side advisory services. If a sell or buy side client referred by the advisor partner chooses to purchase an advisory service, the advisor partner is entitled to 20% of Foundy's revenue.

  • Foundy's advisory services are typically priced at £1500 to £4000.

    To remain a part of the Foundy Advisor Partner Program, you agree to:

    a. adhere to Foundy's Terms of Service (shown on our website Advisor Partners must abide by the same terms and conditions as users laid out in the terms of service and the terms and conditions in this agreement. b. add at least one seller listing to the Foundy marketplace within 30 days of acceptance into the Advisor Partner Programme unless agreed otherwise; C.conduct yourself in a professional manner when representing a client/seller of any listed asset (whether Independently-Contracted or Advisor-Matched) and communicating with Foundy users and use your best endeavours to facilitate

    d. conduct your business in a commercially reasonable, legal, and ethical manner and good faith when communicating through the Foundy platform. This includes providing Foundy regular updates on deals that involve a buyer or seller introduced by Foundy, especially if a transaction goes on to complete. e. make every effort to ensure that the seller you represent (whether Independently-Contracted or Advisor-Matched) is aware of the economic terms of this agreement and Foundy's entitlement to the commission, and f.treat all correspondence and other information from Foundy as confidential. We only disclose information and/or correspondence to third parties after receiving written permission from Foundy or where otherwise required by law. g. The Advisor Partner will not at any time duplicate, copy or use the Advisor Partner Program or the Foundy platform for any purposes other than as expressly authorised under these Terms and the Foundy Terms of Use. h. The advisor partner or any of its affiliated companies shall not attempt (or encourage or support others' attempts) to contract any of Foundy's 3rd party suppliers or partners, including but not limited to Swoop Funding, which would compete with or undercut Foundy. This is strictly prohibited. i.Unless otherwise agreed, a referral Fee shall not be payable to the referral partner (e.g. Foundy or advisor partner) until funds are received by the other partner. Payment of the referral fee to the partner that made the referral within 14 business days after receiving the payment.

  • To provide peace of mind for either party, if there is any discrepancy, query or challenge, either Foundy or the advisor partner is entitled to request formal evidence regarding a particular referral. The other party must obliged to provide full transparency into the details, including sharing relevant email threads or messages with the sole intention of clarifying who is due a referral commission.

    Soliciting Foundy's registered users or suppliers is strictly prohibited. Suppliers in this context refers to employees or consultants of Foundy and 3rd party suppliers. This includes Foundy's fundraising platform partner and the portal software development provider. This clause refers to the period between receiving and signing this document too. You agree to not solicit Foundy users or key suppliers unless directly introduced to them by Foundy during the term of this agreement and for one year following its termination. Solicitation may also comprise collecting details of buyers for your own purposes or that of an indirect or direct competitor of Foundy. You must also only encourage or entice a seller to remove their listing from the Foundy platform or list elsewhere if you intend to represent them on the Foundy platform in your capacity as a Foundy Advisor Partner. Any solicitation other than as approved by Foundy will cause the immediate termination of this agreement and may lead to legal implications for the advisor partner. You will also be removed from Foundy's directory and cease having a profile on Foundy. However, nothing in this section will prevent any Foundy user, buyer or seller from contacting an Advisor Partner directly in response to general non-directed advertising or without solicitation or encouragement on behalf of the Advisor Partner.

    Applicability of Foundy's Terms of Use

    Foundy's Terms of Use shall also apply to the Advisor Partner Programme to the extent applicable, including limitations on liability, indemnification, intellectual property, and governing law.

    You acknowledge and agree that all use of Foundy's Services will be subject to Foundy's Terms of Use found at the bottom of our home page. If there is any inconsistency between this Agreement and Foundy's Terms of Use, Foundy's Terms of Use will take priority.

  • No agency, partnership, joint venture, or employment is created between Foundy and you due to this Agreement. You are not authorised to create any obligation, express or implied, on behalf of Foundy.

    You agree to indemnify Foundy against any claims, costs, damages and/or loss that Foundy may sustain or incur, as a result of any claim by a third party, including your clients and any Foundy users, arising from: (a) your acts or omissions including, but not limited to, your provision of professional services, and/or (b) your breach of this Agreement.

    This Agreement is effective immediately upon your acceptance into the Advisor Partner Program by Foundy, and until:

    a. the Advisor Partner Program is suspended by Foundy at any time effective upon the online publication of updated or modified terms, which will be communicated to you via email, b. terminated by you or Foundy for any reason by providing 30 day's notice in writing to the other party, or C. terminated by either party, with immediate effect upon written notice being provided to the other party, for that other party's material breach of any of the terms of this Partner Agreement.

    If this Agreement is terminated for any reason, you will no longer be able to participate in or receive the benefits of, the Advisor Partner Programme. For the avoidance of doubt, notwithstanding the termination of this Advisor Partner Agreement, Foundy's Terms of Service will continue to apply to your use of the Services (as defined in Foundy's Terms of Service) that Foundy may make available to you as a non-partner. Any outstanding payments due to either party under the terms of this Advisor Partner Agreement will survive any such termination.
