1. Purpose of Agreement
The Company agrees to:
a) Provide the Dentist with a dental room for use inside a licensed clinic in Dubai, under the Company’s existing rental agreement with that clinic (the Dentist will not pay rent to the clinic directly).
b) Assist in the activation of the Dentist’s DHA license under the selected clinic.
2. Fees & Payment Terms
The Dentist agrees to pay the Company the fixed monthly fee mentioned above, due at the end of each month.
Payments must be made via bank transfer to the Company’s designated account.
Any delay in payment of more than 7 days beyond the due date will result in immediate cancellation of the Dentist’s DHA license under the clinic, without refund, and termination of this agreement.
Late payments of less than 7 days will incur a penalty of AED 500 per week until settled.
3. Company Responsibilities
Maintain the rental agreement with the clinic and ensure the dental room remains available for the Dentist’s use during this agreement.
Coordinate with the clinic to facilitate the Dentist’s DHA license activation.
Provide non-clinical administrative assistance as required during onboarding.
4. Dentist Responsibilities
Provide all required documents for DHA licensing promptly.
Maintain a valid DHA license at all times.
Comply with all UAE health authority regulations and the clinic’s internal policies.
Pay the agreed monthly fee to the Company on time.
5. No Employment Relationship
This agreement does not create an employment relationship. The Dentist operates independently and is fully responsible for their own patients, treatments, and professional activities.
6. Confidentiality
Both parties agree to keep all patient and business information confidential during and after the agreement.
7. Term & Termination
This agreement starts on the signing date and continues monthly until terminated by either party with 30 days written notice.
If terminated, all outstanding fees become immediately payable.
8. Governing Law
This agreement is governed by the laws of the United States of America, specifically the laws of the State of Florida.
9. Change of Clinic
If the Company terminates its agreement with the current clinic or secures a better clinic location, the Dentist will have the option to join and work in the new clinic under the same terms and conditions, subject to DHA approval and necessary license updates.
