MEETING DELIIVERABLES
a) Abstract submitter (hereby referred to as Speaker) authorizes IHE to use his/her name, likeness, photograph, and biographical data in connection with the promotion of the Meeting.
b) Speaker retains any copyright that he/she holds in his/her Presentation. IHE may request Speaker to grant IHE a non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, and distribute his/herpresentation (including all presentation materials) as determined by IHE, with appropriate attribution. The permission request will be presented to Speaker prior to his/her presentation. Speaker can then choose whether or not to provide his/her consent for the license. Speaker understands that this license, if provided, does not change the fact that Speaker retains copyright ownershipof the presentation.
c) Speaker hereby agrees that all materials, logos and workshop proceedings produced for the meeting and the meeting budget are and will remain the sole property of IHE.
d) This Agreement shall be effective as of the date first written below and will apply to all rebroadcasts and subsequent use of the recordings by IHE.
e) Speaker understands that IHE intends to make the Meeting proceedings available to all attendees after the Meeting for educational purposes.
f) If Speaker grants the consent license and release to IHE stated above, Speaker acknowledges and agrees that the IHE shall be under no obligation to pay for the permission/license that has been granted to IHE to reproduce, publish and distribute the work as set forth above.
LIABILITY
a) Speaker hereby releases and forever discharges IHE, it’s officers, agents and employees from any and all liability, losses, costs, expenses, causes of action, claims and suits forproperty damage, theft of property or personal injury (including death) arising in connection with the performance of services hereunder.
b) Speaker shall indemnify and hold harmless IHE from and against any losses, costs, claims, damages, orliabilities incurred by the other Party as a result of the negligent orintentional acts or omissions of the other Party, its employees, agents, or sub-contractors or as a result of or related to the breach of any term orcondition of this Agreement.
c) Speaker is responsible fortaking out his/her own insurance policies (travel, liability and/or othernecessary insurances) in relation to his/her participation in the Conference.
d) Any delays in or failure of performance of either the Speaker or IHE shall not constitute default or give rise to any claim for damages if and to the extent caused by or resulting fromacts of God, earthquake, fire, explosion, flood, the elements, strikes, lockouts, boycotts, picketing, labor disturbances or differences with workers,acts of the public enemy, war, rebellion, riots, acts of the government (federal, state, or municipal), or any cause whatsoever beyond the control ofthe Speaker or IHE in default, but performance hereunder may be resumed withall dispatch as soon as the cause preventing performance has been removed.
e) Speaker shall indemnify and hold harmless IHE from and against any losses, costs, claims, damages, or liabilities incurred by the other Party as a result of the negligent or intentional acts or omissions of the other Party, its employees, agents, or sub-contractors or as a result of or related to the breach of any term or condition of this Agreement.
CONFIDENTIALITY
Speaker hereby agrees that IHE will provide Speaker with confidential information, such as technical and non-technical information on its Meeting, its speakers, attendees, how the Meeting will be marketed, pricing for the Meeting, Meeting agenda, and including, but notlimited to, the format and structure of the Meeting. Speaker agrees that, at all times and notwithstanding any termination or expiration of this Agreement,he/she will hold such information in strict confidence and not disclose it to any third party.
