  • 1. Scope of Services

    1.1 Services Provided by Tru Hood Studio: Tru Hood Studio, operated by Christopher Hood, offers premium services, which include but are not limited to:

    1.1.1 Music Services:

    This includes music production, live performances, DJ services, and singing services tailored for various events such as church gatherings, live block parties, local shows, and charity events.

    1.1.2 Media Services:

     Tru Hood Studio provides videography, cinematography, and photography services. These services encompass the full spectrum of media production, including filming, editing, and delivering high-quality videos and photos.

    1.1.3 Event Services:

    Tru Hood Studio offers comprehensive event coverage, including live sound engineering, speaker services, and the setup of audio-visual equipment. These services are available for events like church functions, block parties, local shows, and charitable events.

    1.2 Premium Service Disclaimer:

    Tru Hood Studio emphasizes that the services provided under this Agreement are premium services offered by an established business. This Agreement is not an offer from a startup seeking assistance, but rather a professional arrangement where Tru Hood Studio is aiding the Client in growing their business or service with all necessary resources.

    1.3 Hiring Additional Help:

    Christopher Hood provides the services as a standalone. However, if the scope of work requires hiring additional personnel (e.g., photographers, assistants for speaker setup, or extra DJ services), the Client will be required to cover the costs associated with these additional hires. In such cases, the trade-for-trade service agreement will be void unless verbally agreed upon and signed by both parties.

    1.4 Client's Responsibilities:

    In exchange for the services provided by Tru Hood Studio, the Client agrees to offer equivalent services or benefits, which may include promotional support, interviews, professional services, or any other mutually agreed-upon contributions that will help grow and promote Tru Hood Studio.

  • 1.5 Client's Additional Responsibilities

    1.5.1 Provision of Equipment and Facilities: 

     If tables or any other equipment are required for DJ services, the Client is responsible for providing and setting up these items as needed. It is essential that all necessary equipment and facilities are readily available to Christopher Hood and Tru Hood Studio upon arrival at the

    1.5.2 Water Supply:

    The Client is required to provide an adequate supply of water for Christopher Hood at all events. While it is possible for Christopher Hood to bring his own water, it is a professional expectation that the Client will have water readily available as a courtesy.

    1.5.3 Parking Responsibilities:

    The Client is responsible for ensuring convenient and free parking for Christopher Hood at the event venue. If parking requires payment, the Client is expected to cover this cost. As this is a trade-for-service agreement, Christopher Hood should not incur any out-of-pocket expenses related to parking while providing services.

    1.5.4 Snack Provision:

    For events lasting longer than two hours, the Client is required to provide a snack or light refreshments for Christopher Hood. This ensures that he can remain at his post, whether managing DJ equipment, performing photography or videography, or overseeing other technical aspects of the event, without the need to leave the area. This minimizes disruptions and ensures the smooth delivery of services.

    2. Term of Agreement

    2.1 Duration:

    This Agreement shall commence on [Start Date] and continue until all services outlined have been fully performed by both parties. The Agreement remains in effect until all obligations have been satisfied, and there is no predetermined end date.

    2.2 Review and Extension:

    Periodic reviews may be conducted to ensure the Agreement's terms are being fulfilled. If necessary, the Agreement may be extended or adjusted by mutual consent.

    2.3 Termination:

    Either party may terminate this Agreement with 5 days' written notice, provided that all obligations have been met. If the Agreement is breached by the Client, Tru Hood Studio reserves the right to cease all professional relations with the Client.

  • 3.1 Obligations of Tru Hood Studio: Tru Hood Studio agrees to:

    3.1.1 Provide premium services as outlined in Section 1.1 with professionalism, expertise, and in accordance with industry standards.

    3.1.2 Communicate openly with the Client to ensure that the services meet their expectations.

    3.1.3 Use all necessary equipment and personnel to deliver the services, with any additional hires being the financial responsibility of the Client.

    3.1.4 Accept donations and love offerings in lieu of monetary payment, although these are not required under the Agreement.

    3.1.5 Promote the Client and their services, expecting the Client to reciprocate by promoting Tru Hood Studio in all possible avenues.

    3.2 Obligations of the Client:

    The Client agrees to:

    3.2.1 Provide the agreed-upon services or benefits as a trade for the services rendered by Tru Hood Studio.

    3.2.2 Promote Tru Hood Studio in any materials, media, or platforms where Tru Hood Studio's services are showcased.

    3.2.3 Acknowledge and give proper credit to Tru Hood Studio and the photographer for any photos or videos posted online or on social media.

    3.2.4 Accept that all photos and videos provided by Tru Hood Studio will contain a watermark. If the Client wishes to have the watermark removed, they must either engage in a further trade, make a payment, or come to an agreement with Tru Hood Studio.

    3.2.5 Be responsible for any damage to Tru Hood Studio's equipment while in use by the Client or at a Client's event. The Client must either repair the equipment or compensate Tru Hood Studio promptly.

    4. Consideration

    4.1 Fair Value Exchange: The services exchanged under this Agreement represent a fair and equitable trade, ensuring mutual benefit. The parties agree that this is a trade-for-service Agreement and not a paid service, although donations and love offerings are accepted.

  • 4.2 Monetary Value for Additional Services:

    If the scope of work exceeds the initial Agreement, additional compensation may be required, particularly if Tru Hood Studio must hire extra help. The trade-for-service Agreement will be renegotiated or voided unless a new verbal and signed agreement is made.

    5. Confidentiality and Non-Disclosure Agreement (NDA)

    5.1 Confidential Information:

    Both parties agree that any information shared during the execution of this Agreement is confidential. This includes, but is not limited to, business strategies, creative content, client lists, and proprietary methods.

    5.2 Non-Disclosure:

    Neither party shall disclose any confidential information to third parties without prior written consent. This obligation remains in effect even after the Agreement has been terminated.

    5.3 Use of Confidential Information:

    The confidential information shared between the parties shall only be used for the purposes of fulfilling the obligations under this Agreement.

    6. Intellectual Property and Watermarking

    6.1 Ownership of Intellectual Property:

    Any intellectual property created by Tru Hood Studio during the course of providing services remains the property of Tru Hood Studio unless otherwise agreed in writing.

    6.2 Watermarking of Materials:

    All photos and videos provided to the Client will include Tru Hood Studio's watermark. The Client must contact Tru Hood Studio to negotiate the removal of watermarks, which may involve additional trade, payment, or an agreed-upon settlement.

    6.3 Credit for Work:

    The Client must give proper credit to Tru Hood Studio for any work used or posted publicly. This includes tagging Tru Hood Studio on social media platforms and acknowledging the studio in any publications or presentations of the work.

    7. Dispute Resolution

    7.1 Good Faith Negotiation:

    In case of a dispute, the parties agree to first attempt to resolve the issue through good faith negotiation.

    7.2 Mediation and Arbitration:

    If negotiation fails, the parties agree to submit the dispute to mediation. If mediation is unsuccessful, binding arbitration will be the next step, following the rules of [Arbitration Association].

  •  8. Additional Clauses

    8.1 Force Majeure:

    Neither party will be held liable for any failure to perform due to unforeseen circumstances such as natural disasters, war, or governmental actions.

    8.2 Severability:

    If any part of this Agreement is found invalid, the rest of the Agreement will remain in effect.

    8.3 Acknowledgment of Donations and Love Offerings:

    While Tru Hood Studio does not charge for services under this Agreement, it gratefully accepts any donations or love offerings that help support the growth of the business.
