4.2 Monetary Value for Additional Services:
If the scope of work exceeds the initial Agreement, additional compensation may be required, particularly if Tru Hood Studio must hire extra help. The trade-for-service Agreement will be renegotiated or voided unless a new verbal and signed agreement is made.
5. Confidentiality and Non-Disclosure Agreement (NDA)
5.1 Confidential Information:
Both parties agree that any information shared during the execution of this Agreement is confidential. This includes, but is not limited to, business strategies, creative content, client lists, and proprietary methods.
5.2 Non-Disclosure:
Neither party shall disclose any confidential information to third parties without prior written consent. This obligation remains in effect even after the Agreement has been terminated.
5.3 Use of Confidential Information:
The confidential information shared between the parties shall only be used for the purposes of fulfilling the obligations under this Agreement.
6. Intellectual Property and Watermarking
6.1 Ownership of Intellectual Property:
Any intellectual property created by Tru Hood Studio during the course of providing services remains the property of Tru Hood Studio unless otherwise agreed in writing.
6.2 Watermarking of Materials:
All photos and videos provided to the Client will include Tru Hood Studio's watermark. The Client must contact Tru Hood Studio to negotiate the removal of watermarks, which may involve additional trade, payment, or an agreed-upon settlement.
6.3 Credit for Work:
The Client must give proper credit to Tru Hood Studio for any work used or posted publicly. This includes tagging Tru Hood Studio on social media platforms and acknowledging the studio in any publications or presentations of the work.
7. Dispute Resolution
7.1 Good Faith Negotiation:
In case of a dispute, the parties agree to first attempt to resolve the issue through good faith negotiation.
7.2 Mediation and Arbitration:
If negotiation fails, the parties agree to submit the dispute to mediation. If mediation is unsuccessful, binding arbitration will be the next step, following the rules of [Arbitration Association].
