Personal Guaranty

As a customer of Double Down Industries, the applicant (hereafter referred to as the "Guarantor") understands and acknowledges the legal obligations under Texas State Law when seeking to establish credit with Double Down Industries. This Personal Guaranty is a binding agreement that provides assurance to Double Down Industries of the Guarantor's personal responsibility for the debts and obligations of the company applying for credit (hereafter referred to as the "Company").
By completing this section of the credit application, the Guarantor agrees to the following terms:
Guarantor's Commitment:
The Guarantor personally guarantees full and prompt payment of all existing and future debts, obligations, and liabilities incurred by the Company to Double Down Industries. This includes, but is not limited to, payment for goods and services, interest, late fees, collection costs, attorney’s fees, and any other financial obligations arising from the Company’s transactions with Double Down Industries. This Guaranty is continuous and applies to all credit extended by Double Down Industries.
Unconditional and Absolute Guaranty:
The Guarantor’s obligations under this Personal Guaranty are unconditional and absolute. This means that Double Down Industries is not required to exhaust any remedies against the Company before seeking payment from the Guarantor, nor is Double Down Industries obligated to provide notice of non-payment or default to the Guarantor.
Governing Law and Jurisdiction:
This Personal Guaranty is governed by and shall be construed under the laws of the State of Texas. The Guarantor agrees that any disputes related to this Guaranty will be resolved in the courts of Jefferson County, Texas, which shall have exclusive jurisdiction over such matters.
Waiver of Notices:
The Guarantor waives the right to receive notice of any default or non-payment by the Company. The Guarantor acknowledges that they are liable for the full amount of the Company’s obligations, regardless of whether any formal demand for payment has been made.
Continuing Obligation:
This Guaranty remains in effect until all debts and obligations of the Company to Double Down Industries have been fully satisfied, and until Double Down Industries provides written confirmation of such satisfaction. The Guarantor remains personally responsible for any debts incurred before written termination is provided, even if the Company’s credit status changes or the Guarantor’s relationship with the Company ends.
Severability:
If any provision of this Guaranty is determined to be invalid or unenforceable under Texas law, the remaining provisions will remain in full force and effect, ensuring the continued enforceability of this agreement.
Binding Effect:
This Personal Guaranty is binding upon the Guarantor, their heirs, successors, and assigns. The Guarantor affirms that they have read and fully understand the terms of this agreement, and that they voluntarily accept the responsibilities outlined herein.
By signing below, the Guarantor acknowledges their personal responsibility for the Company’s debts and obligations to Double Down Industries and agrees to be legally bound by the terms of this Personal Guaranty under Texas State Law. This Guaranty ensures that Double Down Industries has the necessary protection to extend credit confidently and securely.
This Personal Guaranty is an essential part of establishing creditworthiness and allows Double Down Industries to continue offering valuable products and services to industrial partners in Beaumont, Texas, and beyond.
