Terms and Conditions for Sponsorship
1. Agreement Overview
This Sponsorship Agreement ("Agreement") is entered into between Live On Events and the sponsoring entity ("Sponsor") for the event named Live On Events. By agreeing to sponsor the event, the Sponsor agrees to the terms and conditions outlined herein.
2. Sponsorship Package and Fees
The Sponsor agrees to provide the agreed-upon sponsorship amount of $75 each date in exchange for the benefits outlined in the sponsorship package. Payment is due at the signing this Agreement below.
3. Sponsorship Benefits
The Sponsor will receive the benefits as specified in the sponsorship package. These benefits may include, but are not limited to, brand exposure, event recognition, and networking opportunities. Live On Events reserves the right to make changes to the event schedule or layout, which may affect the delivery of these benefits. The Sponsor will be notified of any significant changes.
4. Sponsor Obligations
The Sponsor agrees to provide all required materials (e.g., logos, banners, advertisements) necessary for the fulfillment of sponsorship benefits by the deadlines provided by Live on Events. Failure to provide these materials on time may result in reduced or forfeited benefits.
5. Use of Sponsor's Name and Logo
By entering into this Agreement, the Sponsor grants Live On Events the right to use the Sponsor's name, logo, and other provided branding materials in event-related promotional materials, including but not limited to flyers, banners, websites, and social media. Live On Events agrees to use the Sponsor's branding materials in a professional manner and in accordance with any provided brand guidelines.
6. Event Postponement
In the event that Live On Events is postponed, Live On Events will notify the Sponsor as soon as possible. If the event is postponed, the Sponsor's benefits will be applied to the rescheduled date. Live On Events is not liable for any additional costs or losses incurred by the Sponsor due to the cancellation or postponement.
7. Termination of Agreement
Either party may terminate this Agreement with written notice if the other party breaches any material term of the Agreement and fails to remedy such breach within 7 days of receiving notice of the breach.
8. Liability and Indemnity
Live On Events will take reasonable precautions to ensure the safety and success of the event; however, Live On Events is not liable for any loss, damage, or injury that occurs during the event. The Sponsor agrees to indemnify and hold Live On Events harmless from any claims, damages, or liabilities arising out of the Sponsor's participation in the event, including any breach of this Agreement.
9. Confidentiality
Both parties agree to keep the terms of this Agreement and any confidential information obtained in connection with this Agreement confidential, except as required by law or as necessary to fulfill the obligations of this Agreement.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts located in York County, South Carolina.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the sponsorship and supersedes any prior agreements or understandings, whether written or oral. Any modifications to this Agreement must be made in writing and signed by both parties.
12. Acceptance
By submitting payment to this Agreement, the Sponsor acknowledges that they have read, understood, and agree to be bound by the terms and conditions outlined above.
