Wholesale Purchase Agreement
This Wholesale Purchase Agreement is made and entered into as of the date of acceptance by and between Proper Pet, and the undersigned wholesale buyer.
1. Minimum Order Quantity
The minimum order quantity for wholesale purchases is five (5) of the same type of items per order. (Paw Butters, Pet Tags, Keychains, etc.) Orders below this minimum will not qualify for wholesale pricing.
2. Discount and Pricing
Wholesale buyers will receive a 30% discount off the retail price of all eligible products. Prices are subject to change at any time, but the Buyer will be notified of any changes before order placement.
3. Shipping and Delivery
**Shipping Area:** Wholesale orders are available for shipment within the United States only.
**Shipping Carrier:** All packages will be shipped through the United States Postal Service (USPS).
**Processing Time:** Please allow up to thirty (30) days for processing as all items are handmade. The processing time begins once the order is confirmed and payment is received.
**Shipping Costs:** Shipping costs will be calculated at checkout and added to the total order amount.
4. Payment Terms
Full payment is required at the time of order placement. Accepted payment methods include Credit Card, Apple Pay, and Shop Pay. Orders will not be processed until payment has been received.
5. Returns and Exchanges
Due to the handmade nature of our products, all sales are final. However, if the Buyer receives defective or damaged goods, a request for a return or exchange must be submitted within seven (7) days of receiving the order. The Seller reserves the right to determine the validity of the return/exchange request.
6. Intellectual Property
The Buyer agrees not to reproduce, duplicate, copy, sell, or exploit any portion of the Seller's products, trademarks, or other intellectual property without the express written consent of the Seller.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
8. Agreement Acceptance
By placing a wholesale order with the Seller, the Buyer agrees to the terms and conditions outlined in this Agreement.
