    1. Introduction Welcome to the Terms and Conditions ("Terms") for the services provided by Pacific Duct Inc. ("Company", "we", "our", "us"). These Terms govern your use of our services, which are described in the Service Agreement ("Agreement") between us and you, the Customer. By engaging our services, you agree to these Terms. 2. Services Provided 2.1 Scope of Services Pacific Duct Inc. agrees to provide "take-off" services to the Customer, specifically for ductwork and fittings required for HVAC systems. These services are intended for bidding purposes only, and we will only supply an estimation quote for the take-off. 2.2 Exclusions This Service Agreement specifically excludes hardware, grilles, registers, refrigeration/piping, fire/smoke dampers, and any other types of equipment from the services provided. Additionally, it does not cover submittals and samples. 3. Customer Responsibilities The Customer agrees to supply all necessary engineering drawings, blueprints, scopes, and specifications (“Drawings”) that detail the HVAC requirements for the construction project. 4.Limitation of Liability Pacific Duct Inc. shall not be responsible for any miscalculations or inaccuracies in the take-off services provided. The Customer acknowledges that the take-off services are based on the Drawings supplied and that any discrepancies or errors in the Drawings may impact the accuracy of the take-off results. 5. Payment Terms 5.1 Fees The Customer agrees to pay Pacific Duct Inc. as per the agreed-upon rates and payment terms outlined below. 5.2 Required Deposit A deposit of $250 is required prior to the commencement of the take-off services. Your deposit covers up to 8 hours of service.     5.3 Additional Fees Any additional fees incurred beyond the scope of the initial deposit will be invoiced at $30 per hour 5.4 Deposit and Additional Fees If Pacific Duct Inc. is awarded the job, the $250 deposit and any additional fees paid will be applied to materials ordered for the project. 5.5 Payment Schedule For Customers with Accounts: The deposit and any additional fees will be invoiced and must be paid in accordance with the net terms. For Customers without Accounts: The deposit must be paid before services commence. Additional fees will be invoiced upon completion and are due upon receipt of the invoice. 6. Term and Termination This Agreement shall commence on the effective date and continue until the completion of the services specified herein unless terminated earlier in accordance with the terms set forth. Either party may terminate this Agreement with a written notice if the other party fails to comply with the terms and conditions. 7. Confidentiality Both parties agree to maintain the confidentiality of all information exchanged in connection with this Agreement, including but not limited to the Drawings and take-off calculations. 8. Amendments No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties. No verbal agreements or modifications are permitted. 9. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. 10.
