  • This Maintenance & Support Service Agreement ("Agreement") is made effective as of date signed, by and between {parentName} of {typeA}, and Smartcashbackshopping, LLC DBA Glass Web Services, 18444 N 25th Ave, Ste 420, Phoenix, Arizona 85023. In this Agreement, the party who is contracting to receive services will be referred to as "Contractee," and the party who will be providing the services will be referred to as "Glass."


    DESCRIPTION OF SERVICES. Glass will provide to Contractee ongoing website maintenance and support for {schoolteamName}. Contractee has chosen the below package (collectively, the "Services") for their Agreement. Additional details of what is included in the chosen package can be found below on page three.

    Scope Limitations: As part of the Reliable Site and Total Care Packages, the following services are limited to a total of four (4) hours per month: Basic HTML and CSS editing, design changes, and layout alterations on a page or specific sections. Any work exceeding this limit or falling outside the scope of the chosen package will be billed at Glass’s standard hourly rate or as a separate project.

    Contractee shall provide Glass with all necessary access, including administrative login credentials for the website, hosting platform, and relevant third-party tools. Glass is not responsible for any delays or failure to perform Services resulting from a lack of access or incorrect credentials provided by the Contractee.

    Glass does not provide hosting services. Contractee acknowledges that the website is hosted on a third-party platform of their choosing. Glass is not responsible for website downtime, server failures, security breaches, or data loss caused by the hosting provider or other third-party software, plugins, or themes.

    While Glass may perform routine backups as part of certain service packages, these are performed on a "best efforts" basis. Contractee is encouraged to maintain their own independent backups. Glass shall not be held liable for any loss of data, files, or website functionality resulting from hardware failure, hosting issues, or malicious attacks (e.g., hacking) beyond the scope of standard maintenance.


    PAYMENT FOR SERVICES. In exchange for the Services Contractee will pay Glass according to the following schedule:

    Every month beginning on the day this service agreement is executed, Contractee will be charged according to the Package chosen:

    • The Upkeep Essentials Package: $50 per month plus any applicable taxes
    • The Reliable Site Package: $125 per month plus any applicable taxes
    • The Total Care Package: $175 per month plus any applicable taxes

    Payment will be billed automatically to the Contractee via the initial payment method provided.

    ADDITIONAL CHARGES. Items not included in the selected package will incur additional charges. Contractee approval will be obtained before such charges are billed. Current rates include:

    • Blog Posts: $35 per post (posting client-provided content and 1-2 royalty-free images). Content creation by Glass is an additional $15.
    • Additional Web Pages: $150 per page (creation and design; client provides content).
    • Website Redesign: Contractees receive a 15% discount off currently listed redesign rates.


    RETURNED PAYMENTS. In the event Contractee payment declines on original payment date, as a courtesy, Glass Web Services will attempt to process payment again the following business day. If payment declines the following business day: maintenance and support services will be placed on hold until default is cured and a $35 non-sufficient fund fee will be charged to the customer's account. Not paying for services is NOT a cancellation. Customer is still responsible for all payments until proper cancellation procedure is followed. Monthly service charges will continue to accumulate even if a customer's account is on hold.

    TERM. This is a month-to-month Agreement and will continue monthly in perpetuity unless proper cancellation protocol is invoked by either party. During this term, Glass Web Services will be the only service provider providing maintenance and support for {typeA} owned by Contractee.

    CANCELLATION. Either party may terminate this agreement with 30 days written notice via email.

    Contractee shall email admin@glasswebservices.com. Glass Web Services shall email {email}. The agreement shall terminate on the last day of the current billing cycle after 30 days. No credit will be given for payments already received.

    CONFIDENTIALITY. Glass, and its employees, agents, or representatives will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Glass, or divulge, disclose, or communicate in any manner, any information that is proprietary to Contractee. Glass and its employees, agents, and representatives will protect such information and treat it as strictly confidential.

    REMEDIES. In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term or condition of this Agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate the Agreement by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 7 days from the effective date of such notice to cure the default(s). Unless waived by a party providing notice, the failure to cure the default(s) within such time period may result in termination of this service agreement. To the maximum extent permitted by law, Glass’s total liability for any claims, losses, or damages arising out of or related to this Agreement—whether in contract, tort, or otherwise—shall not exceed the total amount of fees paid by Contractee to Glass during the three (3) months immediately preceding the event giving rise to the claim. In no event shall Glass be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data.

    ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this service agreement. This service agreement supersedes any prior written or oral agreements between the parties.

    SEVERABILITY. If any provision of this Agreement will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.

    DISPUTES. Any and all disputes will be governed by the laws of the State of Arizona.

    USE OF LOGO. Contractee agrees to allow Glass to use the logo and/or screen shot of their website on their website for promotional purposes.

    AMENDMENT. This Agreement may be modified or amended in writing, if the writing is signed by the parties obligated under the amendment.

    SIGNATORIES. This Agreement shall be signed on behalf of {typeA} by {parentName}.
