  • Non-Disclosure Agreement (NDA) for Interns
    This Non-Disclosure Agreement (the "Agreement") is entered into as of the date below by and between JBCF Business Solutions (the "Company"), with its principal place of business at [Company Address], and the undersigned individual (the "Intern"), regarding the internship role with the Company.

    Confidential Information
    Definition: For the purposes of this Agreement, "Confidential Information" refers to all non-public information, whether written, electronic, oral, or in any other form, disclosed to the Intern during their internship, including but not limited to:

    Client Information: All information regarding JBCF Business Solutions' clients (the "Clients"), including names, contact details, business strategies, contracts, communications, financial details, and any other data pertaining to JBCF’s clients, partners, or their respective businesses.
    Trade secrets, proprietary data, business strategies, marketing plans, vendor lists, and client lists.
    Internal communications, employee information, business operations, and intellectual property.
    Information related to the Company’s projects, products, processes, services, and future business strategies.
    Confidential Information includes any material the Company or its Clients consider confidential, proprietary, or otherwise sensitive, whether disclosed directly to the Intern or accessed during the course of the internship.

     Obligations of the Intern
    During and after the internship, the Intern agrees to the following obligations regarding the handling of Confidential Information:

    Non-Disclosure
    The Intern agrees not to disclose any Confidential Information to any third party without prior written consent from the Company.
    The Intern agrees to protect and safeguard Confidential Information and to take reasonable steps to prevent unauthorized disclosure or access.


    Non-Use
    The Intern agrees that Confidential Information, including Client Information, will only be used for the purpose of fulfilling their duties during the internship and will not be used for any other purpose without the written consent of the Company.


    Protection of JBCF Client Information
    The Intern acknowledges that JBCF Business Solutions' Clients expect confidentiality and discretion in handling their business information.
    The Intern agrees not to disclose, share, or use any Client Information for any purpose other than that which is authorized by the Company.
    The Intern agrees to handle all Client communications and details with the utmost confidentiality and professionalism and will not contact JBCF Clients directly without explicit authorization from their supervisor.


    Restriction on Forwarding or Printing
    The Intern agrees not to forward, copy, print, download, or distribute any information from the Company’s or the Client’s email systems, servers, or other digital platforms without written authorization.
    Confidential documents, emails, and client details must not be printed, downloaded, or forwarded outside of the Company’s secure systems.


    Video Conferences and Meetings
    The Intern agrees to conduct all video conferences, virtual meetings, and other communications involving the Company and its Clients in private and secure environments.
    No third party is permitted to be present during any meeting or video conference involving the Company or its Clients unless explicitly authorized by the Company.
    The Intern agrees not to record any video conferences, client discussions, or meetings without prior written consent from the Company or the Client.


    Return or Destruction of Information
    Upon termination of the internship or at the request of the Company, the Intern agrees to return or destroy all Confidential Information, including Client Information, and any copies, whether in digital or printed form.
    The Intern must delete any Confidential Information from personal devices and confirm destruction or return with the Company.


     Exclusions from Confidential Information


    Confidential Information does not include information that:

    Is or becomes publicly available through no fault of the Intern.
    Is lawfully received from a third party without breach of any obligation of confidentiality.
    Is already known to the Intern prior to disclosure by the Company or its Clients.


    Duration
    This Agreement shall remain in effect during the Intern’s tenure at the Company and continue indefinitely after the internship concludes, unless the Confidential Information becomes publicly available or the Company provides written release from this Agreement.

     Breach of Agreement
    In the event of a breach of this Agreement by the Intern:

    The Company reserves the right to terminate the internship immediately.
    The Intern may be subject to legal action for damages caused by any unauthorized use or disclosure of Confidential Information, including Client Information.
    The Intern may be held liable for any losses or damage incurred by the Company or its Clients as a result of such a breach.

    Governing Law and Jurisdiction
    This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company is located, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts in that jurisdiction.

    Entire Agreement
    This Agreement constitutes the entire understanding between the Company and the Intern regarding the protection of Confidential Information, including Client Information. It supersedes all prior discussions or agreements, whether oral or written, related to confidentiality.


    Acknowledgement
    By signing below, the Intern acknowledges that they have read and understood the terms of this Non-Disclosure Agreement and agree to comply with all the conditions and restrictions outlined herein.

  • Intern Contract

  • This Internship Agreement (“Agreement”) is entered into on first day of internship by and between:

    JBCF Business Solutions, LLC (“Company”), with its principal place of business at 619 S. West St. Bainbrdge, GA 39819 and 

  • The parties agree as follows:


    1. Term of Internship

    The internship will begin and end on the specific dates outlined in the Intern’s individual offer letter, unless terminated earlier in accordance with this Agreement. While the terms of this Agreement are consistent for all interns, start and end dates may vary. The Intern agrees to commit to the schedule specified in their offer letter, which generally reflects a commitment of approximately 24 hours per week during the internship period


    2. Nature of Relationship

    The internship is an educational experience and does not constitute employment.
    The Intern will not be entitled to wages or employee benefits unless explicitly stated otherwise.
    Any compensation (if applicable) is outlined in Section 4.

    3. Intern Responsibilities

    The Intern agrees to:
    a. Complete assigned projects and tasks promptly and with professionalism.
    b. Maintain the confidentiality of all Company information.
    c. Adhere to all Company policies, procedures, and guidelines provided during onboarding.
    d. Act in a manner that reflects positively on the Company.


    4. Compensation

    Option A: Unpaid Internships- Business Analyst, Tax/Legal, Executive Director, Client Service Intern, AI & ChatGPT Strategist

    This is an unpaid internship. The Intern understands and agrees that they will not receive any monetary compensation or employee benefits for services performed during the internship.

    This internship is intended to provide educational and professional development opportunities, and the Intern acknowledges that they are participating voluntarily without expectation of compensation.

    Option B: Commission-Based Internship- Digital Marketing and Sales Manager Only

    Commission Rate: The Intern will receive a commission of 10-18% on qualifying sales or completed transactions. The specific rate will be determined based on the scope of work and will be communicated in writing before the start of the internship.
    Eligibility: Commissions are earned when a client successfully makes payment for services/products rendered as a result of the Intern’s work.
    Payment Schedule: Commissions will be paid 30 days after the client has made full payment to the Company.


    Clawback Clause: If a client cancels a contract or fails to make payment within thirty days of the invoice due date, any associated commissions may be forfeited. Additionally, if a client cancels a contract within 180 days of the start date, any associated commissions may be forfeited, even if payments have been made.

    The Intern acknowledges that this commission-based structure offers the opportunity to earn compensation directly tied to their performance and contributions, subject to the conditions outlined above.


    5. Supervision and Training

    The Intern will be supervised by JBCF Internship Director Team, who will provide guidance, resources, and regular feedback. 


    6. Confidentiality and Intellectual Property

    a. The Intern agrees not to disclose, copy, or use any confidential or proprietary information obtained during the internship for personal benefit or that of any third party.
    b. Any work product created by the Intern during the internship (e.g., reports, presentations) becomes the exclusive property of the Company.


    7. Termination

    This Agreement may be terminated:
    a. By the Company at any time, with or without cause, upon written notice.
    b. By the Intern with two weeks notice to the Company.


    8. Acknowledgement of Non-Employment

    The Intern acknowledges that participation in this internship does not create an employment relationship and that no promise of future employment with the Company is made.


    9. Non-Discrimination

    The Company is committed to providing equal opportunities and prohibits discrimination or harassment based on race, religion, gender, age, disability, or any other protected status.


    10. Entire Agreement

    This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings or agreements.


    11. Governing Law

    This Agreement will be governed by and construed under the laws of the State of Georgia.
