Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into as ofDate, by and between:

Disclosing Party: Girl Torque The Movie Limited ("Disclosing Party"), with an address at 39 Long Acre, London WC2E 9LG, in connection with the motion picture project currently titled "Girl Torque" (the "Project"); and

Receiving Party:   Name/ Company Name*, with an address at Address*("Receiving Party").

1. The Receiving Party understands that they may be given access to certain confidential and proprietary information relating to the Project for the purpose of evaluation, collaboration, financing, casting, distribution, or other legitimate business discussions (the "Purpose").
2. All information disclosed by the Disclosing Company which includes any and all information provided by its individuals and/or employees, written, electronic or oral, that relates or refers directly or indirectly, to the Project, shall hereafter and forever be deemed confidential and shall constitute Confidential Information. This includes, but is not limited to:
   1. Screenplays, drafts, treatments, outlines, and story concepts
   2. Pitch decks, investor presentations, financial models, cashflow schedules
   3. Budgets, top sheets, financing structures, tax incentives, and recoupment waterfalls
   4. Distribution strategies, sales estimates, territory projections
   5. Casting attachments, talent discussions, and negotiations
   6. Production schedules, locations, crew attachments
   7. Business plans, marketing strategies, and risk assessments
   8. Any non-public information disclosed verbally, visually, digitally, or in writing relating to the Project or the Disclosing Party
3. The Receiving Party agrees to not disclose the Confidential Information to any third party without prior written consent from the Disclosing Party; and to take reasonable steps to protect the confidentiality of the information. The Receiving Party shall not copy, reproduce, distribute, exploit, or use the Confidential Information for any other reason other than the Purpose, including but not limited to developing competing projects or derivative works.
4. All Confidential Information remains the sole property of the Disclosing Party. No license, option, or ownership rights are granted under this Agreement by implication or otherwise.
5. Upon request, the Receiving Party agrees to promptly return or destroy all Confidential Information and any copies thereof, including digital files, notes, and summaries.
6. This Agreement shall remain in effect for five (5) years from the date of disclosure, or until the Confidential Information becomes publicly available through lawful means, whichever occurs first.
7. The Receiving Party acknowledges that unauthorized disclosure may cause irreparable harm. The Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
8. Nothing in this Agreement obligates either party to enter into any further agreement or business relationship regarding the Project.
9. This Agreement, and any dispute or claim (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
10. This Agreement constitutes the entire understanding between the parties regarding confidentiality and supersedes all prior discussions or agreements.
