  • LETTER OF AGREEMENT BETWEEN MULTIPRO AND THE CUP SALES VENDOR

    For the purposes of contributing to the community, supporting access to food and assisting in remedying the unemployment rate in Ghana, MULTI-PRO PRIVATE LIMITED, in its capacity as a distributor of Indomie Instant Noodles, intends on empowering vendors via its Cup Sales Initiative, in terms of which MULTI-PRO PRIVATE LIMITED will provide two (2) T-shirts, one(1) Apron, One(1) table mat and two hundred (200) cups.

    1. In addition, MULTI-PRO PRIVATE LIMITED will provide on-going support to vendors through frequent visits, practical guidance on methods to increase sales and maximise their profits, and good hygiene practices. All profit generated by this Initiative shall be for the vendor.

    2. The vendors shall:

    2.1. Not be entitled to use the Product, nor the Equipment for any other purpose other than that as outlined in paragraph 1 above, or otherwise for his/her own consumption;

    2.2. Comply with the Regulations issued by Section 14 of the Local Governance Act, 2016 (Act 936) which provides for the establishment of Health Departments in every Metropolitan, Municipal and District Assemblies in Ghana. They are to enforce food hygiene and safety regulations provided for under the Public Health Act of 2012 in collaboration with the Food and Drugs Authority (s. 82(b), Act 851., and more specifically:

    2.2.1. Wash their hands and clean all surfaces regularly;

    2.2.2. Wear gloves, hairnets and an apron when cooking and serving the Product;

    2.2.3. Wear masks at all times;

    2.3.    Use a new and clean cup and fork for each serving

    2.4.   Cook the Product according to the prescribed instructions, i.e. in clean water and at the location designated inside and outside the relevant school premises;

    2.5.   Do not use any other condiments, spices or foodstuffs to flavour the Product, other than that which is provided in pack;

    2.6.   Keep cooking stations clean and wash cooking utensils and equipment daily;

    2.7.   Keep record of the number of servings (cups) sold and revenue made daily;

    2.8.    Keep record of Product stock and equipment used daily;

    2.9.    Keep a record of receipts in respect of the eating and cooking utensils purchased from retailers other than Multi-Pro Private Limited; and

    2.10.  Maintain personal hygiene and cleanliness (including the use of a recently washed apron daily).

    3.  In order to ensure compliance by the vendor with the Initiative’s purpose and a sustainable relationship between the vendor and MULTI-PRO PRIVATE LIMITED, the vendor shall inform MULTI-PRO PRIVATE LIMITED’s Supervisor if he/she is unable to work on a certain day, ensure that he/she is always contactable and inform Supervisor if he/she is experiencing any network or other technical issues.

    4.  MULTI-PRO PRIVATE LIMITED reserves the right to reject any vendor suspected of fraudulent behaviour or to remove a vendor from the Initiative who is suspected of consuming alcohol or acting under the influence of any illegal substance during the course of his/her work in terms of the Initiative and/or undermines the objectives of the Initiative or uses the Products contrary to their purpose.

    5. Furthermore, any violation or attempt to violate any of these terms and conditions will result in the immediate disqualification of the vendor from the Initiative.

    6. Vendors hereby agree that MULTI-PRO PRIVATE LIMITED, and any of their advertising agencies, supervisors, and suppliers, shall not be liable (individually or jointly and severally) to the vendors for any claims brought by third party against the vendor for loss or damages suffered or incurred by the third party from or related to the wilful misconduct or negligent acts or omission on the part of any such Indemnified Persons. MULTI-PRO PRIVATE LIMITED will not be liable for any delays in the delivery of the Products or items.

    7.  Participation in this Initiative and subsequent use of the Product and items is at the Vendor’s own risk. Vendors shall hereby indemnify and hold harmless MULTI-PRO PRIVATE LIMITED as well as its employees, organisers of this Initiative, advertising agencies, supervisors and any other related parties, against all claims, losses and liability whether direct or indirect incurred by any vendor, student or other consumer, arising from or in connection with this Initiative, including without limitation, personal injuries, illness, death and property damage, howsoever arising.

    8.  By signing this Letter, you as the vendor, agree to take receipt of the Products and items or equipment (owned by the vendor) for purposes of taking part in the Initiative on the terms and conditions set out above.
