Confidentiality Agreement
Between: Cheer Nova Scotia (CNS)
AND
(“Recipient”)
(“Disclosure of Confidential Information”)
It is understood and agreed to that the below identified disclosure of confidential information may provide certain information that is and must be confidential. To ensure the protection of such information, and to preserve any confidentiality necessary under the CNS policies and/or bylaws, it is agreed that
The Confidential Information to be disclosed can be described as and includes
All conversations held discussing sensitive information pertaining to individual CNS members and/or CNS membership teams; all discussion/arguments surrounding eventual motion outcomes; all conversations related to submitted formal complaints; all decisions/outcomes from formal complaints; CNS documents that regular membership do not have access to (certification exams, background checks, etc.);
The Recipient agrees not to disclose the confidential information obtained from the discloser to anyone who is not an CNS board member or CNS employee.
The Recipient agrees they shall take all reasonably practical steps to keep the Confidential Information confidential and shall advise the Board immediately should they discover that Confidential Information has been revealed or used or anticipates that Confidential Information could be used or revealed in any manner, which is not within the knowledge of the Board, or not in the best interests of CNS.
The Recipient agrees that all items created by them pursuant to their serving term, and all equipment, tools, computers, software, cellular telephones, credit cards, keys, books, records, reports, files, manuals, notes, data, reference items, and other materials in any way relating to any of the information or to CNS business shall belong exclusively to CNS. The Recipient agrees to turn over to CNS all such materials and copies thereof in its possession or under his or her control, forthwith at the request of CNS.
The Recipient acknowledges and agrees that CNS acquires, by virtue of the Board relationship, all intellectual property rights to all writings, software, and developments or services, (whether or not patentable) (the "Works") which the Recipient makes, conceives, discovers or develops while they are on the board for CNS, which relate to or are used or are intended for use in connection with any business carried on by CNS.
This Agreement states the entire agreement between the parties concerning the disclosure of Confidential Information. Any addition or modification to this Agreement must be made in writing and signed by the parties.
If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole.
WHEREFORE, the parties acknowledge that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein.
