• THE PARTIES TO THIS AGREEMENT ARE:

  • Format: (000) 000-0000.

  • Whereas the Referral Partner may refer potential clients to the Company in exchange for a commission. The Parties agree to the following:

    1. The Partner will become eligible to receive a Referral Commission when the Partner submits a referral client by (email) to: Info@FirstAvenueLending.com

    2. Referral Partners receive 25% of the gross commission earned by the Company. The commission shall be a percentage of the total commission paid by a Lender to the Company. Referral commissions shall be paid within 10 days of the referred client receiving funding from a Lender.

    2A. Default: In the event the client defaults on his Lender contract within the first 45 calendar days of receiving funding then all commission paid to the Referral Partner must be returned to Company within 10 days of Referral Partner receiving notice by email of said referred client's default.

    3. Placement of advertisements or use of any document relating to the business of the Company is prohibited without prior written approval of the Company. The Referral Partner shall not make promises or issue any warranty either expressed or implied pertaining to the services oU'ered by the Company unless authorized in writing by the Company.

    4. The relationship between the parties shall always be that of independent contractors. No employment, partnership, or joint venture relationship is formed by this referral agreement and at no time may the Referral Partner position himself as aU'iliated with the Company except as an independent referral partner. In view of this independent relationship, the Referral Partner shall not enter into any agreements or incur any debts on behalf of the Company.

    5. This referral agreement does not grant exclusive rights to the Referral Partner to act as an agent on behalf of the Company and the Referral Partner shall have no rights under any other agreements entered by the Company and other Referral Partners.

  • 6. Both parties agree not to disclose any confidential information pertaining to their services, processes, intellectual property, or proprietary information to any third party. The Referral Partner may perform follow-up inquiries with his referred clients to confirm their progress and gather feedback about their experiences with the Company.

    7. The Company reserves the right to change the Referral Partners compensation by notifying the Partner in writing of such changes. Changes in compensation shall not aU'ect transactions entered prior to the eU'ective date of the change.

    8. Either party may terminate this agreement at any time by giving ten (10) days' notice by email. Upon termination of this agreement by either party, all outstanding referral commissions due shall be settled in full within thirty (30) days.

    9. Each party shall indemnify, defend, and hold harmless against all claims arising from misrepresentation, default, misconduct, failure to perform, or any act related to this agreement.

    10. This agreement constitutes the whole agreement between the parties and any alteration shall be in writing and signed by both parties.
