Tall Ships America 2025 Conference Sponsorship Form

Please use this form to secure your company or organization's sponsorship of the 2025 Tall Ships America Annual Conference on Sail Training and Tall Ships, which will be held February 3-5 in Linthicum, MD. Thank you for your support!

For non-custom sponsorships, we're using a web form to manage sponsorship agreements and payments for this event, instead of doing everything the old-fashioned way with emails and phone tag. Our intention is for this to be an easier option for everyone, with better documentation and faster turnaround times.

General Sponsor Agreement Terms & Conditions

Unless otherwise specifically mutually agreed to in writing, the following provisions shall apply to all Tall Ships America Annual Conference on Sail Training sponsorship contracts:

Mutual Indemnification
The Sponsor shall indemnify and hold Tall Ships America and its officers, officials, employees and volunteers harmless from and against claims, damages, losses and expenses (including reasonable attorney’s fees and all other litigation costs) for personal injury (including death) or property damage to the extent arising out of or resulting from the Sponsor’s negligent acts, error, or omissions under this Agreement. Tall Ships America shall indemnify and hold the Sponsor and its employees harmless from and against liability for claims, damages, losses and expenses (including reasonable attorney’s fees and all other litigation costs) to the extent arising out of or resulting from Tall Ships America’s negligent acts, error, or omissions under this Agreement.

Termination
This Agreement may be terminated by either party for cause upon not less than thirty (30) days written notice to the other party before event. Cause shall constitute a failure on the part of the other party to comply with the provisions of this Agreement.

Entire Agreement; Amendments
This Agreement represents the entire agreement between the Tall Ships America and the Sponsor and supersedes all prior negotiations, representations or agreements, either written or oral with regards to this sponsorship. This Agreement may be amended only by a written instrument signed by both Tall Ships America and the Sponsor.

Third Parties
Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against Tall Ships America.

Successors and Assigns
Tall Ships America and Sponsor respectively bind themselves, their partners, successors, assigns and legal representatives to the other party of this Agreement and to the partners, successors, assignees and legal representatives of such other party with respect to all covenants of this Agreement. Neither Tall Ships America nor the Sponsor shall assign this Agreement without the written consent of the other.

Non-waiver of Breach
Failure by either party to notify the other of a default or breach in the performance of this agent, shall not constitute a waiver thereof.

Governing Law
This Agreement shall be governed by the laws of the State of Rhode Island.

Severability
Should any provision or provisions contained in this Agreement be declared by a court of competent jurisdiction to be void, unenforceable, invalid, or illegal, the remaining provisions of this Agreement shall not be affected thereby and shall remain in full force and in effect to the extent that they could continue to do so.

Agent Authorization
The person signing on behalf of Sponsor is duly authorized by such organization to do so.
