This Independent Contractor Agreement (“Agreement”) is made between:
Superpower Intel LLC and Independent Contractor listed in the signature below.
Collectively referred to as the “Parties.
1. Independent Contractor Relationship
The Contractor is hired by the Company to perform mystery shopping services as an independent contractor, not as an employee. The Contractor acknowledges and agrees that they will perform services under the direction of the Company but maintain control over how the services are performed, consistent with the guidelines provided.
The Contractor agrees that they are not an employee, and as such, is responsible for their own taxes, insurance, and any other financial obligations.
2. Scope of Work
The Contractor agrees to provide mystery shopping services as directed by the Company, which will include visiting specific locations, evaluating services, completing detailed reports, and submitting findings within deadlines established by the Company. The Contractor agrees to maintain confidentiality about the nature of these assignments.
3. Compensation
The Contractor will be compensated per assignment upon successful completion of the required services, in accordance with the terms set out for each assignment.
**Assignment Payment**: Amounts to be provided on a per-assignment basis.
Payments are typically processed within 30 business days after the completed assignment and submission of all required materials.
4. Confidentiality and Non-Disclosure
The Contractor agrees to maintain the confidentiality of all Company business practices, processes, and assignments. The Contractor must not share any information regarding assignments with third parties unless otherwise required by law.
5. Termination
This Agreement may be terminated by either Party at any time with written notice. The Company may terminate this Agreement immediately for breach of the Contractor's obligations under this Agreement or for failure to satisfactorily complete an assignment.
6. Indemnification
The Contractor agrees to indemnify, defend, and hold harmless the Company, its affiliates, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorney fees) arising out of or related to the Contractor’s performance or breach of this Agreement.
7. Governing Law
This Agreement will be governed by and interpreted in accordance with the laws of the State of New York without regard to conflicts of law principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the subject matter herein and supersedes all prior agreements or understandings, whether written or oral.
9. Contractor’s Acknowledgement
The Contractor acknowledges that they have read this Agreement in full, understand its terms, and agree to abide by them as an independent contractor.
