CONFIDENTIALITY AGREEMENT

The undersigned agrees to, and warrants, that all information provided by the agents, or broker of Skyline Properties, Inc. shall be kept in the strictest form of confidence and shall not be disclosed to any parties outside this agreement, or allow to become public knowledge, without prior approval by Skyline Properties, Inc. The undersigned will not use any of the information for any purpose other than the evaluation of a potential purchase/lease of real property or business opportunity. Specifically, but not without limitation, the undersigned agrees not to use any information so acquired for the undersigned’s own business purposes or for any third party purposes. The undersigned shall not reveal the content of any negotiations or comments to any third parties without the expressed consent of the seller.

Time Period. Unless Seller otherwise agrees in writing, the undersigned will not disclose or reveal any Property information for 2 (two) years from the date hereof to any persons or entities for any other purpose other than in connection with the proposed transaction.

Return of Information. Upon written request by Seller and/or Agent, the undersigned agrees to return information supplied to purchaser by seller and/or agent and may not create or keep any photocopies or facsimiles.

Beneficiary. The undersigned understands that Skyline Properties, Inc. and its principals are beneficiaries of this agreement and are entitled to enforce it and recover damages for breach hereof by the undersigned.

Litigation. In the event of any litigation or proceeding arising out of this agreement, the prevailing party in such litigation shall be entitled to enforce it and recover damages for breach hereof by the undersigned.

The undersigned further agrees to the following:
1.          To not make direct contact, or discuss the purchase and sale of a business with the owner, manager, employees, or patrons of said business, whose name and location were provided to the undersigned by Skyline Properties, Inc.
2.          To use the services of Skyline Properties, Inc. if the undersigned elects to purchase a business, real property, or lease space, represented or provided to the undersigned by Skyline Properties, Inc.
3.          To not disclose to other real estate brokers, or agents, the names and locations of businesses, real property, or lease space, provided to the undersigned by the agents of broker of Skyline Properties, Inc.

The undersigned acknowledges that information provided to Skyline Properties, Inc. regarding businesses, real property, or lease space, was provided by people deemed reliable. Skyline Properties, Inc. REPRESENTS THE SELLER. However, the undersigned does not hold Skyline Properties, Inc. liable for the inaccuracy and authenticity of said information.
