Damages for Breach
In the event that the Host fails to fully perform the obligations set out in this contract, the following damages are agreed upon as liquidated damages, not as a penalty for the Host's failure to perform. It is understood and agreed that these amounts are related to what USTA SC will have to expend to relocate and conduct the championship at another location. It is also agreed that these stipulated sums have been agreed upon in good faith, are reasonable and proportionate if the Host breaches this contract for whatever reason, and are subject to Host's remedies to appeal which are set out in paragraph four of this section.
USTA SC agrees to pay the Host a fee to defray a portion of the expenses which will be incurred during the championship.
It is agreed and understood that either party, USTA SC or the Host, will within thirty (30) days after any annual championship have the right to withdraw from the remainder of this contract without penalty.
However, if Host provides notice to USTA SC after the thirty (30) day period referred to in the paragraph three above but 180 days before the next agreed-upon championships is scheduled to begin, that Host will not be able to fully provide the obligations they have committed to including the required amenities and other Host site requirements set out in this document, Host will pay USTA SC fifty (50%) percent of the host fee listed in paragraph two of this section as liquidated damages within thirty (30) days of their notice to USTA SC of the breach of this contract. If Host provides notice after 180 days prior to the next agreed-upon championship is scheduled to begin that they will breach this agreement, it is agreed that Host will pay USTA SC one hundred (100%) percent of the host fee listed in paragraph 2 of this section as a sum of liquidated damages within thirty (30) days of their notice to USTA SC of their breach of this contract.
In addition, the parties agree if Host does not tender the payment of the liquidated damages set out herein and USTA SC must bring an action to enforce the portion of this agreement, then Host agrees to pay all reasonable attorney fees incurred by USTA SC in prosecuting the action to collect the liquidated damages set out herein. The USTA SC Executive Committee of the USTA SC Board of Directors may reduce the damage amount if Host petitions the USTA SC Executive Committee by serving the reasons for their request upon the Executive Director of USTA SC within ten (10) days of the Host's notice of their inability to comply or their failure to comply with their obligations set out herein.
