  • This Agreement outlines the terms, conditions, and responsibilities for the social media management services provided by the Service Provider to the Client.

    In this agreement, the terms 'Service Provider' and 'Client' refer to the parties as named below. 'Service Provider' shall refer to Jessica Ward DBA Hello Mindful Jess, and 'Client' shall refer to {clientFull}, as specified in the details preceding this agreement. These terms are used for the sake of clarity and convenience throughout this document, without diminishing the importance or individuality of the parties involved.

    1. SERVICES PROVIDED

    The Service Provider agrees to provide social media management services for the Client, which may include the following, as detailed in the agreed-upon proposal:

    Creation and scheduling of social media posts (text, images, and/or videos).
    Management of social media accounts, including responding to comments and direct messages as specified.
    Monitoring social media platforms for engagement, mentions, and relevant trends.
    Analytics reporting on social media performance.
    Developing and adjusting social media strategies in consultation with the Client.
    Note: Specific services, scope, and timeline are outlined in the proposal, which serves as the guiding document for this Agreement.

     

    2. CLIENT RESPONSIBILITIES

    The Client agrees to provide all necessary access, including account login details, brand assets (e.g., logos, images, etc.), and any relevant content to ensure the Service Provider can deliver the agreed-upon services.

    Exclusivity of Posting: The Client agrees that the Service Provider will be the sole party responsible for creating and posting content on the social media accounts outlined in this Agreement. This exclusivity ensures that the social media strategy, branding, and storytelling remain cohesive and aligned with the agreed-upon goals. If the Client or any third party posts content outside of the Service Provider’s schedule, it may disrupt the overall strategy and impact the performance or cohesion of the social media content. The Client agrees to discuss any additional posts with the Service Provider prior to posting to ensure alignment with the overall strategy.

  • 3. PAYMENT TERMS

    The Client agrees to pay the Service Provider the full amount specified in the proposal by the first of each month, prior to the start of services for that month.

    Payment is due in full for the upcoming month’s services by the {1st day} of each month.
    If payment is not received within 7 days of the due date, a late fee of 15% will be applied.
    Failure to pay within 14 days of the due date may result in suspension of services until payment is received.
     

    4. TERM AND TERMINATION

    This Agreement shall begin on {Start Date} and continue until terminated by either party with 30 days' written notice.
    In the event of termination, the Client is responsible for paying for services rendered up to the termination date, including any partial month of services.
    Upon termination, the Service Provider will return all account credentials and relevant documentation to the Client.
     

    5. CONFIDENTIALITY

    The Service Provider agrees to maintain the confidentiality of the Client's social media account information, including passwords, proprietary strategies, and sensitive materials. This confidentiality remains in effect even after the termination of this Agreement.

     

    6. LIMITATION OF LIABILITY

    The Client acknowledges that the Service Provider is not liable for any direct, indirect, incidental, or consequential damages arising from the use or performance of the services provided.

    The Service Provider will use best efforts to deliver the agreed-upon services but makes no guarantees regarding specific results or social media platform performance (including follower growth, engagement rates, or algorithm impacts).

    The Service Provider is not responsible for:

    Actions taken by third parties on social media platforms (such as hacking or account suspension).
    Algorithm changes by social media platforms that affect post visibility or engagement.
    Losses or damages due to the unavailability of social media platforms.

  • 7. INTELLECTUAL PROPERTY

    All content created by the Service Provider for the Client under this Agreement will be considered the intellectual property of the Client upon full payment for services.
    The Client grants the Service Provider a non-exclusive, revocable license to use the Client’s trademarks, logos, and branding materials solely for the purpose of creating and managing social media content under this Agreement.
     

    8. INDEMNIFICATION

    The Client agrees to indemnify and hold the Service Provider harmless from any claims, damages, losses, or legal actions arising from the Client’s use of the provided services, including but not limited to intellectual property infringement, defamation, or any regulatory non-compliance issues.

     

    9. AMENDMENTS

    This Agreement may only be modified in writing, signed by both parties. Changes to the scope of services or fees must be agreed upon by both parties in writing before implementation.

     

    10. ENTIRE AGREEMENT

    This Agreement, along with the proposal, constitutes the entire agreement between the parties concerning social media management services. It supersedes any prior agreements, written or oral, related to this subject.
